Mastercard’s Consumer Solutions division comprises a broad range of digital product led programs and services, including our Network and Digital Payment Services, Segment Solutions, New Digital Infrastructure and Fintech, Acceptance Solutions and Consumer Products for Issuers teams and business lines.
Overview
As Legal Counsel – Consumer Solutions, you will be a key member of the legal team supporting this division by advising and assisting the Consumer Solutions division in respect of various commercial, strategic and product development projects.
The role has a particular focus on Mastercard Prepaid Management Services (MPMS) in the Asia Pacific region, which is part of our Consumer Products for Issuers division. MPMS is a global prepaid card program services manager offering end-to-end program management services, including transaction processing, cardholder servicing, fraud monitoring, card and collateral design, card manufacture and card distribution. Its portfolio includes travel cards, gift cards, corporate cards and transit solutions across a number of different countries in Asia Pacific, North America, South America, Europe, Middle East and Africa, with Australia, New Zealand, and Japan being particularly key markets for the division.
You will serve as a trusted business partner and a key member of the regional legal team. The role will be based in Sydney (St Leonards office and remotely) and you’ll report to the Assistant General Counsel, Acceptance Solutions and Consumer Products for Issuers (based in the UK) who has global legal responsibility for these divisions. The role also has a dual reporting into the Regional Senior Managing Counsel for Australasia.
Role
The role will require strong commercial and regulatory knowledge and experience in the financial services and payments sector. In this role you will support commercial initiatives including product development and innovation, and provide regulatory support in partnership with Mastercard’s compliance, public policy & regulatory affairs teams, including advice, research and the monitoring of changes in laws that impact our products, services and existing licenses (e.g. AFSL) for each of the markets in which we operate. The role will also require legal support in connection with product distribution, contract negotiation, risk analysis and risk management, cardholder, anti-trust and consumer laws and communications, marketing reviews, and strategic partnership and general advice in conjunction with responsible management, stakeholders, and business leaders’ initiatives in the region across a broad range of products and services.
The core responsibilities of this role are as follows:
Participating as a key member of the Consumer Solutions legal team based in Asia Pacific driving innovation and growth of the products and services we offer
Entity management and working with our third-party provider to support company secretarial matters relating to MPMS within the Asia Pacific region
Ensuring compliance with all applicable regulatory compliance and licensing requirements and Group policies and procedures, including providing advice with respect to legal requirements relating to the provision of financial services, privacy, trade practices, corporations and companies law, anti-money laundering and counter-terrorism financing
Working closely with Global and Regional Product, Account Management and Market Development teams to advise on and support our, and our customers’ products and services
Product and services development & design, including end-to-end considerations to bring our products and services to market
Managing the engagement of, and the legal services provided by, external counsel with a view to ensuring efficiency, quality of services and cost-effectiveness
Advising key stakeholders of upcoming legislative developments and their potential impact on the business units and operations
Ensuring the business is provided with accurate, commercial and timely legal services
Preparing, reviewing and negotiating distribution agreements and other customer agreements
Preparing, reviewing and negotiating agreements with third party issuers, suppliers and other potential vendors and strategic alliance partners
Drafting and reviewing cardholder terms and conditions, marketing materials and other consumer-facing collateral including Product Disclosure Statements, terms and conditions and Financial Service Guides
Reviewing and providing legal advice on tender and RFI/RFP documents
- Liaising with relevant regions and functions to ensure legal and other risks have been identified and appropriate courses of action have been taken
- Providing and interpreting legal information, design & conduct training and disseminating appropriate legal requirements to stakeholders
- Partnering with other stakeholders within the Mastercard Law and Policy team (e.g. Compliance, Privacy, IP, Public Policy, Regulatory, Litigation, Anti-Trust and Employment teams)
- Bachelor of Laws or equivalent degree with current Australian practicing certificate.
- Inhouse experience in a leading organisation or within private practice, with a proven track record in the financial services, payments or technology sector, across a broad range of legal areas (e.g. commercial contracting, product development, partnership and distribution, etc)
- Experience covering multiple jurisdictions, multiple large projects and competing priorities.
- Excellent relationship management and communication skills.
- The ability to identify and balance risk with results.
- Ability to provide clear, concise and independent advice (orally and in writing) to senior leadership and translate complex legal principles into tangible business consequences.
- Ability to work independently, make practical, timely and solution-oriented decisions while demonstrating sound judgment throughout.
