As the Manager - Company Secretariat at Fortescue, you will play a pivotal role in establishing and managing the Australian and international subsidiaries of the company. You will be responsible for ensuring compliance with local regulations, collaborating across various departments, and maintaining the highest standards of corporate governance.
Key Responsibilities
- Lead the establishment of Fortescue's Australian and international subsidiaries, ensuring timely creation and compliance with all legal requirements.
- Manage ongoing compliance in foreign jurisdictions, working closely with Legal, Finance, Treasury, and Operations teams.
- Develop and maintain registers, templates, and procedures to ensure adherence to governance standards.
- Coordinate the preparation of crucial subsidiary documents, such as minutes, board resolutions, and powers of attorney.
- Provide company secretarial services for Joint Ventures and subsidiary boards, including agenda preparation, minutes, and resolutions.
- Champion the adoption of an entity management system, ensuring accurate and up-to-date records while providing training to Fortescue personnel.
- Assist with business integrity training and reviews, focusing on areas such as privacy, competition law, and related party transactions.
- Bachelor's degree in law
- In-depth knowledge of corporate law, governance practices, and regulatory requirements in relevant jurisdictions.
- Prior experience in corporate governance, legal, compliance, or related fields is highly valued.
- Strong interpersonal skills with the ability to communicate effectively across all levels of the organisation.
