Responsibilities:
Axway is looking to add a resource in Sydney to our current global legal team.
As an in-house attorney you will manage business contracts and negotiations, formulate policies to ensure legal and contract compliance, manage resolutions of disputes, and contribute to the formulation of our business strategy in APAC.
A successful candidate will have a minimum of 7 years of software licensing and contract experience and some employment law experience. All candidates must have LLM from an accredited law school. International business experience and foreign language skills are an advantage. The attorney will directly report to Axway’s Head of Legal based in France.

Key Responsibilities
- Oversees, prepares and negotiates legal documents including software licenses, services agreements, vendor contracts, and nondisclosure agreements.
- Manages the legal activities, of the company with the objective of protecting the company's interests and providing assistance to managers concerning how laws and regulations impact their functional areas.
- Manages all documents through the legal process, is the key representative of Corporate Affairs in APAC (?)
- Prepares and reviews proposed contracts, leases, formal agreements and other legal instruments.
- Manages license compliance, audits of customers.
- On a daily basis manages all software licensing activities and software contract activities for APAC customers.
- Partners closely with Sales, Finance and HR.
- When needed, manages relations with outside counsels
Key Competencies
- Software licensing and service contract experience
- General knowledge of laws and regulations applicable to corporations in general and software companies in specific.
- Detail oriented.
- Excellent time management, communications, decision making, presentation, human relations, and organizational skills.
Qualifications
- Experience with emphasis on software law, IP rights, employment law, and compliance regulations licensing and commercial transactions
- Knowledge of financial revenue recognition rules
- A minimum of 7 years of legal experience
- Fluency other language – either French or practiced in the region- is a plus
