RESPONSIBILITIES
- Analyzes and negotiates substantial commercial contracts, including master sales agreements for sales of products and services.
- Advises and actively coordinates activities relating to a wide variety of legal and commercial matters, including commercial contracts, business practices, policies, claims and litigation, and a smaller volume of trade, regulatory, governance, compliance, and human resources matters.
- Engages with business on field issues and potential claims early in the fact pattern, seeking to mitigate risk through early intervention, clear guidance, and "seeing around the corner."
- Manages and directs outside counsel on above functions efficiently and cost-effectively.
- Leverages contractual rights and mitigates contractual risk to advance critical business outcomes as aligned with global strategic priorities.
- Provides recommendations to business leaders regarding legal requirements, best practices, commercial sales processes (including long-term systemization and scalability), and strategies for containing and mitigating overall risk.
- Facilitates alignment with Vertiv counsel in EMEA and Americas regions on high-level approach to commercial terms in sales contracts.
- Informs Senior Associate General Counsel and other members of the legal team on material matters promptly with recommended courses of action based on sound business and legal judgment.
- Guides and coordinates outside counsel on select mediation, arbitration, and litigation matters, and executes the requisite legal processes to effect the company's rights, privileges, and obligations.
- Assists in analyzing federal sales opportunities with respect to with federal procurement laws and provides guidance to federal sales team regarding same.
- Assists in gathering and concisely summarizing contractual and commercial information for executive decision-making.
QUALIFICATIONS
- Must have a Juris doctorate (JD) degree.
- Active License to practice Law from an American Bar Association (ABA) approved institution.
- Availability before and after traditional working hours.
- Knowledge of several of the following areas: primarily commercial transactions, with some exposure to litigation, employment, corporate governance, and compliance issues. Genuine appetite for learning areas of law that are less familiar.
- Routinely provide strategic commercial advice based on sound business and legal judgment.
- Excellent legal analysis, critical thinking, and spoken/written communication skills.
- Strong ability to interface and negotiate with outside counsel and business contacts (internal and external) at the highest levels.
- Demonstrated ability to recommend and advocate for certain legal and commercial courses of action based on legal requirements, contracts, and data, and to successfully influence decisionmakers accordingly.
- Adept at identifying important internal stakeholders and building consensus for well-informed, strategic initiatives relating to functions described above.
- Ability to effectively and accurately assess and balance risk when making business decisions.
- Works within designated budgets.
