The Role

We have an opportunity to join our Risk, Governance and Legal function as a Senior Assistant Company Secretary in a 9 month fixed term contract.

Reporting to and working with the Company Secretary and Head of Governance & Risk Strategy, the Senior Assistant Company Secretary is responsible for ensuring that our Board and management committees operate efficiently, effectively and in line with our corporate governance and risk frameworks.

Your responsibilities will include, but not be limited to:

  • Partnering with the Company Secretary and Head of Governance & Risk Strategy to deliver all company secretariat functions in accordance with legal requirements, including effective meetings, board composition and governance requirements, charter review and compliance, Corporations Act compliance for companies, annual general meetings, and maintaining statutory registers, records, and seal registers.
  • Driving the delivery of the Board calendar, including ensuring meetings are properly called and held, managing board and committee papers, preparing, and circulating agendas, managing invitations for meetings and any necessary briefings for contributors and attendees, effective drafting or review of minutes, discussion papers and proposals for the Board and its committees.
  • Overseeing Director and designated senior management appointments and resignations, including ensuring fit and proper assessment processes are undertaken, notifications to regulators and induction program of new directors.
  • Preparing governance reporting to the Board on key matters relating to governance.
  • Keeping up to date with any legal, regulatory, or other changes that may impact MLCL's approach to corporate governance.
  • Work with the Board Administrator to fulfil any document requests as required across the enterprise relating to company matters or externally required from regulatory or other stakeholders.
  • Supporting the Company Secretary to manage compliance obligations with relevant prudential standards.

About you
  • Highly organised and proactive, with exceptional attention to detail.
  • Extensive experience in a company secretarial function within a regulated industry, ideally financial services or related.
  • A strong understanding of Corporations legislation and other governance guidelines and how they impact on a company's day to day administration.
  • Proven ability to effectively engage with Board members and senior stakeholders.
  • Exceptional written and excellent verbal communication skills.
  • Proven ability to prioritise and manage competing demands.
  • Ability to maintain focus and motivation for critical compliance and administrative tasks.
  • Ability to think critically, interpret and present insights from data, and provide proactive solutions.
  • A continuous improvement mindset.
