About the role:
We are looking for a Corporate Governance Clerk, who is either a second year law student or someone who has three years of EA experience, to join our growing Melbourne team.
Your role will include coordinating and drafting Corporate Governance tasks, actioning client communications, and ensuring deadlines and deliverables for various tasks are met.
You will be encouraged to develop strong working relationships with clients, as you gain a full understanding of their organisation and provide them with governance support. We are passionate about our clients and the work they do, and are looking for someone that shares this passion.
This role requires a proactive, organised, and personable individual who is eager to gain experience in Corporate Governance services. In fulfilling your role, you will be working collaboratively with other Breakthrough teams to provide a high-level of support to our clients.
We are based in Melbourne CBD and adopt a hybrid working model.
Your Day-to-Day Responsibilities will include:
- Management of emails in client inboxes ensuring all requests are actioned with speed, accuracy, and efficiency
- Setting up and maintaining client governance software, including training and support for clients
- Drafting and updating Board-governance documents and registers
- Corporate Secretarial functions including minutes
- Preparing regulatory reports and applications
- Drafting of file notes and liaising with Board and HR partners
- Assisting with governance processes, including policies, contracts, and other HR-related agreements
On an ongoing basis, you will:
- Draft governance-related reporting
- Assist with client onboarding including setting up of governance systems and workflows
- Support the creation and maintenance of best practice documentation, workflows, and processes within the governance team
- Other ad-hoc tasks
Skills and Experience:
- Minimum of one year of a Law Degree completed or 3 years’ experience as an EA
- Sound understanding of ASIC and ACNC, and their role in compliance for companies and Not-for-Profits
- Proficiency in Office 365 Suite
- An encouraging and positive attitude with a strong desire to provide a high level of service to clients
- Demonstrates the skills required to deliver work of a high standard and in efficient ways
- Strong written and verbal communication skills, that is underpinned with respect and integrity – the role will require daily communication with clients through a range of communication platforms
