The Role

As Deputy Company Secretary, your responsibilities will include, but not be limited to: 

  • Support the Company Secretary and Executive Management with responsive actions and accurate advice on Board and Committee meeting practices and processes and general governance matters.
  • Driving the preparation and execution of board and committee meetings, including preparing and circulating agendas, reviewing and managing board and committee papers, managing meeting invitations, briefing contributors and attendees and the drafting or review of minutes.
  • Assist with preparing reports to the Board on key governance matters.
  • Supporting the Company Secretary to manage compliance with governance aspects of VicTrack’s enabling legislation and the Corporations Act.
  • Assist with the annual Board and Board Committees reviews.
  • Review and refresh as necessary key governance documents such as charters, frameworks and policies.
  • Responsible for the maintenance of VicTrack’s digital Board Portal.
  • Lead the Company Secretariat Group’s contribution to enterprise wide or department specific projects. 

Qualifications:

Tertiary qualifications in business, law or related field.
Relevant governance qualifications and/or be a qualified Company Secretary.

Knowledge & Experience:

  • Extensive prior experience in a Company Secretariat function, with experience within a public sector entity highly valued.
  • Demonstrated experience managing all Board processes such as Board and Committee meetings and papers, circulation of agendas, minutes, matters arising, board packs, circular resolutions and circulation of out of session resolutions.
  • Deep and practical understanding of good governance practices.
  • Strong written and verbal communication skills and a strong appreciation for confidential matters.
  • Resourceful logical thinker with superior attention to detail.
  • Excellent interpersonal skills with the ability to build and maintain relationships with a diverse range of internal and external clients, including Executives and Board members.
  • Demonstrated ability to establish priorities, proactive approach in driving outcomes and resolving issues and proven organisational and time management skills.
  • Ability to think critically, interpret and present insights from data, and provide proactive solutions.
  • A continuous improvement mindset.
  • Well-developed skills in Microsoft Office Suite. 
  • Enthusiastic self-starter with excellent ability to multitask, prioritise and work under pressure.
  • Ability to work autonomously or as part of a team.
  • Experience with Board portals, with a preference for knowledge Diligent.
