Reporting to the Managing Director, the Head of Corporate Services is a member of the executive team and is a role with impact. This role contributes to setting strategic direction and executes responsibilities to align delivery of strategies to the overall objectives of Loram. As an accounting or legal professional, this role has an Asia-Pacific remit and with a global mindset collaborates with Loram teams around the world related to business functions within the role.
More specifically, this role also:
- Leads and manages a team of professionals and develops team capabilities with current current and future needs in mind.
- Leads local finance and accounting activities, including annual budget and monthly forecast process for Asia Pacific region, ensuring effective collaboration with global colleagues to deliver timely and accurate accounting, and financial planning and analysis.
- Ensures delivery of effective legal advice, legal documents, and resolution of claims through collaboration with global legal team and external counsel.
- Assists in negotiating and drafting favourable contracts and ensures approval of material contracts.
- Drafts and implements effective corporate governance documents, including resolutions, delegation of authority, and other policies.
- Leads regional and contributes to global enterprise risk management process.
- Collaborates with global risk team to ensure coverage with compliant and effective insurance programs.
- Acts as company secretary maintaining corporate filings, minutes and records and coordinates compilation of materials for Board of Directors meetings and approvals.
To be considered for this role:
- Tertiary Qualifications in Accounting or Law
- Certified Public Accountant or Admitted to practice as an Australian Legal Practitioner
- 10+ years’ experience related to essential job functions, and, in particular, in reviewing, drafting, advising in and, broad-based legal experience, including the negotiation of complex commercial contracts – domestic and international
- 5+ years’ experience in leading relevant Corporate Services within private companies
- Specialized knowledge of Corporate law including contract drafting, review, negotiation and management, regulatory compliance relevant to the Company, litigation and relevant agency claims management
- Strong experience in corporate governance activities for a multinational organisation
- Knowledge of managing corporate governance and securities issues
- Excellent verbal and written communication and presentation skills, including at the C-Suite and Board of Director levels.
- Well-developed leadership skills including the ability to influence with and without direct authority
- Experience working on M&A and corporate financing transactions
- Business experience in Asia Pacific region preferred
