About the role:
The Manager Governance, Legal and Risk leads, directs and provides high level legal advice on a diverse and complex range of strategic and operational activities. Reporting to the General Manager, Strategy, Finance and Governance and leading a small and high performing team, the role will act as General Counsel, providing timely and independent legal advice and assistance to the Board of Directors, CEO, Executive and the Senior Management Team.
Located in Townsville, the position will perform the role of Company Secretary and ensure that the Port maintains best practice corporate governance through administering compliance with ASIC and other statutory obligations. It will manage the administration of the Board of Directors and fostering a culture of compliance with the Port.
Given the diversity of the Port’s legal environment, the Manager Governance, Legal and Risk is required to have strong generalist skills together with the discretion and wisdom to know when specialist input is required. The position will work closely with other legal counsel (external) to ensure all Legal and regulatory risks are identified and managed, particularly in relation to corporate and company secretarial matters.
Key accountabilities include:
Provide legal advice in areas of commercial contracts, trade practices and competition, property and planning. Lead all aspects of Board administration including Board and Committee timetables, agendas and minutes and ensure that all functions of the Board are efficiently discharged in accordance with relevant Legal and other corporate governance requirements and guidelines.
Manage the relationship with all corporate regulators, ASIC and shareholding ministers, meeting reporting deadlines and compliance requirements relating to ASIC. Lead the Port’s enterprise risk management framework to ensure strategic and operational risks are identified and effectively managed as well as driving the Port’s Integrated Management System to ensure corporate policies and processes are appropriate to meet business objectives.
Develop, review and negotiate commercial agreements, manage the Port’s insurance arrangements and lead the Port’s enterprise risk management and Right to Information frameworks.
Contribute to the Port’s strategic plans including the Statement of Corporate Intent, Corporate Plan and Port Vision 2050.
About You:
To be successful you will have legal qualifications and hold a current Practicing Certificate. With a minimum of seven years’ experience as a senior manager, you have strong commercial acumen and the ability to provide practical and results-focused legal advice and solutions. You will have previously worked with boards and are experienced as a Company Secretary and enjoy the additional responsibility of leading governance and Risk management within a complex working environment. Your style is to promote a proactive compliance and Risk management culture and you have a strong understanding of best practice corporate governance practices and key legislation including the Corporations Act and Government Owned Corporations Act.
This role requires highly developed communication and negotiation skills with the ability to build strong relationships with a broad range of internal and external stakeholders including government entities. Combined with being versatile and strategic, you are a successful people manager with the ability to influence successful outcomes at the highest level.
