D’Arcy Weil is looking for an enthusiastic self-motivated Commercial Counsel who thrives in a fast-paced environment. The successful candidate is comfortable performing a wide range of tasks from administrative to strategic as part of a global renewable energy company providing solar, wind power and BESS products and service solutions.
Reporting to the Head of Legal, you will provide strategic advice, guidance and support that enables the business to achieve its strategic mission in a way that minimises legal and compliance risk for the business.
Key responsibilities
- Providing legal support for commercial projects, including bidding, structuring, negotiation, contracting, procurement, contract execution, contract management and dispute resolution.
- Ensuring the compliance with the local public procurement law in all the public contracts, including the compliance with the relevant applicable laws;
- Collaborating with the other legal functions within the APAC region in order to fulfil the requirements provided for the company in participating to local bidding, public contracts and projects.
- Providing legal support in the constitution and/or management of the joint ventures, consortiums or any other kind of associations, PPP or project financings.
- Participating in cross-functional teams, counselling stakeholders on legal commercial and reputational risk, leading discussions on risk management and ethical practices in a user-friendly and pragmatic manner.
- Ensuring compliance with corporate governance and approval requirements, company secretarial requirements, general commercial matters.
- Managing the services of outside counsel as needed and within budget.
- Collaborating with other colleagues within the global Legal & Compliance team on joint initiatives.
- 10 to 15 years in top tier international law firms or industrial companies, experience in the energy sector desired.
- Sound knowledge of contracting schemes for infrastructure projects, public and private procurement.
- Strong negotiation and risk management skills, able to operate at multiple levels including with customers, suppliers and other stakeholders.
- Familiarity with Australian corporate governance processes and regulations, and capability to deal with corporate documentation.
- Good verbal and written communications skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organisation.
- Ability to prioritise and manage multiple tasks simultaneously, strong at problem-solving and critical thinking, willingness to travel occasionally.
- Team player that is willing to work with other functions and members of the Legal & Compliance team on joint initiatives.
- Degree in Law and Admitted to practice.
