Board Appointment Non-Executive Director ECLIPS Logistics

ECLIPS Logistics is seeking a Non-Executive Director to join our Board to fill a planned board retirement. You must be an independent thinker, contributing constructively to our Board's decision-making process and adding value to the board through your independence and experience. 

This role is initially for a one-year term, with yearly extensions up to a maximum of three years. You'll join our five-member board, comprised of executive directors and founders as we transition to an independent board with a Chief Executive Officer (CEO). You will be expected to participate in Board Sub-Committees as required and contribute to the growth of the company.

Your time will not be wasted on big-business internal politics and unnecessary governance. 

The Role

ECLIPS Logistics is seeking a casual Non-Executive Director to join an established board. The successful candidate will have financial acumen, legal expertise, or other relevant skills that will complement the entrepreneurial and industry skills, knowledge, and experience of the current board. This is a casual employment, non-executive director position as part of a long-term Business Continuity Plan and Corporate Strategy that will be shared with short listed candidates. You may also serve on board committees and participate in key decision-making processes, such as mergers and acquisitions, without being involved in the day-to-day running of the business.

As an independent thinker, you'll bring respectful and confident expression of views, contributing constructively to our Board's decision-making process. 

This is a strategic hire for the business. You will be expected to be an expert in business growth and the implementation of strategic direction through membership of the board. You must be able to assist the current board and executive leadership team to influence, shape and grow the business. Previous experience with Series A investments and business scaling are viewed favourably. 

Previous demonstrated experience in a Board position growing a technology company will set you apart. 

ECLIPS Logistics has a flat management structure, and you will have regular access to the Managing Director, Executive Directors and the Executive Leadership Team.

Qualifications, skills and experiences

The ideal candidate will be an experienced board member who has previous experience guiding a software business scaling. You should be a business builder and someone who is adaptive and who can lead new and innovative approaches to market. The successful candidate will ideally have experience raising capital, scaling a software business and marketing for growth. 

You must be able to work in a fast-paced, highly entrepreneurial, and creative environment that respects process but is focused on the product not the process. You will need to think and act like an owner in the best interests of the company supporting rapid growth and product scaling whilst remaining independent and asking “so what”.

ESSENTIAL attributes our Non-Executive Director must possess include:

  • Attended the Australian Institute of Company Directors Course or similar experience.
  • Financial Management expertise, ideally in capital raising and growth.
  • Bachelor's degree in a relevant field of study, or relevant experience and demonstrated performance as a Board member or Chief Executive Officer. 
  • Strong interpersonal skills.
  • Excellent analytical and research skills.
  • Excellent written and communication skills.
  • Problem solving and decision-making skills.
  • Able to obtain and maintain an Australian Government security clearance.

DESIRABLE attributes that our successful applicant should demonstrate include:

  • Graduation from the Australian Institute of Company Directors or similar experience.
  • Background in or knowledge of Defence industry and willingness to work in the Defence Industry. 
  • Appropriate master’s qualifications in business, commerce, or engineering or similar experience.
  • Experience raising capital for growth, in particular Series A investment.
  • Mergers and Acquisitions. 
  • Experience with rebranding and marketing for growth.

Meeting Commitments and Remuneration:

The ECLIPS Logistics Board convenes ten times annually with an established business rhythm of annual events. Board members may also serve on sub-committees, meeting virtually as needed. A daily sitting fee and reimbursement for reasonable expenses are part of the package.
