u&u Recruitment Partners are pleased to partner exclusively with a newly created entity who are seeking a senior Company Secretary to work three days per week to support the Board and subcommittees with alignment across strategy, governance, legislation and policies. Working directly with the newly appointed Chairman and CEO, you will have a distinguished career in complex corporate governance, company secretarial matters, Board implementation and subsidiary governance. Previous experience in government will be an advantage in the role.
Key responsibilities include:
- The Company Secretary will be accountable to the Board, through the chair, on all governance matters;
- Provide legal advice on interpretation of the Corporations Act, CAC Act, GBE Guidelines and PGPA matters and notifications;
- Develop and implement relevant legal policies and procedures to support compliance;
- Ensure the Board annually reviews Board and Committee charters and key governance policies and frameworks;
- Co-ordination and preparation, review and dispatch of the Company's Board and Committee papers and minutes; and
- Convene and attend all Board and Committee meetings and advise the Chair of procedural matters.
The role is based in Sydney, three days per week with potential to increase this around Board time.
