You will be responsible for providing global legal support on all corporate matters for Aristocrat, including corporate governance, executive and employee equity plans, ASX, corporate and ESG disclosures and securities law compliance. The role is also responsible for performing the duties and responsibilities of a Company Secretary to the Aristocrat Leisure Limited Board and its Committees within the Aristocrat Group in line with the Corporations Act, ASX Listing Rules, the company’s Constitution and all other relevant legislation or regulation.
In addition, the role is also responsible for managing the Group’s legal support for corporate transactions and assisting the Deputy Chief Legal Officer – Group, M&A and ESG in shaping and aligning the Group’s Corporate Legal strategy with the Group’s strategy.
Company Secretariat and Corporate Governance:
Planned all board business, including preparing board and committee agendas and minutes, work plans, and calendars.
Provide advice to the Board on corporate governance matters, including directors’ duties, Board accountability/rights of shareholders, ASX continuous disclosure and governance standards and Directors’ and Senior Executive remuneration.
Timely delivery of Board strategic initiatives and priorities and preparation of substantive Board/Committee papers regarding governance and related issues.
Manage internal teams and oversee processes from a legal perspective to support sign-off on statutory financial statements, remuneration reports, Notice of Annual General Meeting, Modern Slavery Statement and other market disclosure documents, including ESG disclosures.
Manage the Group’s ASX relationship.
Serve as a member of the Group’s Management Disclosure Committee.
Manage the Group’s Share Trading Policy and Continuous Disclosure Policy.
Manage global subsidiary governance and maintenance.
Proactive identification of developments and changes in law and cascading to relevant stakeholders.
Incentive / Equity & Shareholder:
Advise on directors’ and senior executive shareholding and remuneration matters and cessation of employment.
Manage the Group’s Employee and Executive Equity programs.
Corporate Transactions:
Manage all corporate transactions, including mergers and acquisitions, divestments, debt financings and re-refinancings.
General Support:
Work on special projects where analysis of situations or data requires an in-depth evaluation of variable factors.
Analyse legal issues impacting the business, evaluate options and recommend mitigating actions.
Support and role model the Legal Team’s Drive to Thrive strategy.
Deliver timely and solution-focused legal services while managing cash flow and achieving budget targets.
Operate as a sustainability champion by providing advice and counsel to our business clients and ensuring that all initiatives meet legal requirements and advance our reputation.
Manage internal and external counsel resources.

About You
A Practicing Certificate in Australia.
At least 15 years post-qualification experience (either in-house or private practice), with a Graduate Diploma of Applied Corporate Governance and Risk Management and experience gained at a top-tier law firm, viewed favourably.
Ability to provide commercially focused legal support.
Ability to manage briefs to external lawyers.
Excellent knowledge and understanding of corporate law and procedures.
Experience with corporate transactions, including mergers, acquisitions, divestments, and debt financings and re-refinancings.
Ability to work autonomously as well as cross-functionally with other teams (e.g. Finance, Tax, Corporate Development, Investor Relations, Corporate Affairs, Government Relations) and to influence and build effective working relationships with individuals at all levels of the organisation.
Ability to manage competing priorities, simultaneously drive numerous projects, identify, and resolve business issues, and earn the confidence of executive business partners.
