About the Role
We are seeking an experienced lawyer (2 - 5 years PQE) with commercial and corporate law experience to fill a position to support our expanding business. This position requires a candidate with a proactive personality, excellent drafting skills and the ability to build relationships with clients across various sectors and levels.
You will work within a team of legal professionals with global, top tier expertise in commercial, corporate and M&A legal matters.
As a boutique firm with a multi-disciplinary legal and patent practice, we offer a more personalised service to clients, providing legal advice based on our intimate understanding of their business across a broad range of corporate, commercial, intellectual property and technology matters.
Working with a friendly and talented team, you will have both the autonomy of conducting your own files and the experience of collaborating with other team members on larger matters. Your responsibilities will include:
- drafting and negotiating a broad range of commercial contracts such as supply agreements, licence agreements, distribution agreements, customer agreements and service agreements;
- advising clients on appropriate business / corporate structures to suit their needs;
- advising clients on corporate compliance matters;
- drafting and negotiating shareholder agreements, unitholder agreements and joint venture agreements,
- acting in M&A transactions, including conducting due diligence investigations and drafting key transaction agreements with the assistance of experienced M&A lawyers; and
- drafting and assisting with the implementation of corporate restructures.
Experience in one or more of the following areas would also be an advantage:
- intellectual property generally, including IP licence agreements;
- technology contracts including SaaS contracts;
- advising on intellectual property protection strategies including enforcement; and
- intellectual property litigation.
