Job description

Eastern Guruma is seeking a skilled, experienced and dedicated Corporate Lawer to join one of Australia most successful 100% Indigenous owned and innovative company that are at the forefront of delivering diverse projects and services for Australia's leading mining companies.

This permanent, full-time position offers an exciting opportunity for the right candidate to play a crucial role in supporting the business operations and strategic initiatives through expert legal advice, contract negotiation, compliance management, risk mitigation, litigation and facilitating corporate transactions.

WHAT DOES THE ROLE INVOLVE?

Your main responsibilities will include:

1. Corporate Governance:

  • Advise on corporate governance practices and compliance with corporate law.
  • Assist in the preparation of corporate documents, including board resolutions, shareholder agreements, and corporate filings.
  • Participate in strategic planning and advise on legal implications of business strategies.

2. Legal Advisory and Compliance:

  • Provide legal advice on a wide range of matters related to corporate law, including mergers and acquisitions, corporate governance, finance, securities, property rights, employment law, safety, environmental law and intellectual property.
  • Ensure that all aspects of the company’s operations are conducted in compliance with applicable state, national, and international laws and regulations.
  • Provide guidance on matters related to employment law, encompassing labour relations, employment contracts, occupational health and safety, workers' compensation, and related legal disputes.
    Draft, review, and negotiate contracts related to mergers and acquisitions, supply agreements, service agreements, vendor agreements, partnership agreements, confidentiality and non-disclosure agreements.

3. Dispute Resolution:

  • Manage litigation and dispute resolution processes, working closely with external counsel as necessary on specialised matters, maintaining and managing these relationships to guarantee comprehensive legal support.
  • Represent the company in legal proceedings, arbitration, and negotiations including Fair Work conciliations, hearings and any other circumstances whereby legal representation and support may be required.

4. Indigenous Cultural Affairs:

  • Assist the Board of Directors in understanding and traversing the complex legal and ethical terrains related to the rights and traditions of Indigenous communities in connection with business operations.
  • Provide legal support for the business, facilitating meaningful conversations and partnerships with Indigenous groups, governmental bodies, and relevant stakeholders as necessary.

5. Risk Management:

  • Conduct legal research and provide training to the company on legal risks and compliance matters.
  • Ensure compliance with applicable laws and regulations and advise on legal risks and mitigation strategies.

WHAT ARE WE LOOKING FOR?

  • Bachelor of Laws (LLB) degree or equivalent.
  • Completion of a Practical Learning Training (PLT) program.
  • 12 years of experience in corporate law, preferably within a law firm or in-house legal department.
  • Membership of professional bodies relevant to position such as Law Society of Australia.
  • Familiarity with international law and cross-border transactions.
  • Experience and/or exposure practicing in civil/construction and mining industries.
  • Experience with Fair Work conciliations and hearings.
  • Broad knowledge of HR/IR requirements relating to Fair Work as well as OH&S generally.
  • Strong understanding of the business implications of legal decisions.
