General Counsel – ASX-Listed Mining Services Company

has been exclusively briefed by an established ASX-listed Mining Services Company, a key player in Australia’s resource sector. As they continue with rapid business expansion, they’re seeking an experienced and proactive General Counsel (or Senior Legal Counsel looking for your first GC appointment) to establish and lead the company’s legal function. This position will suit lawyers with exceptional commercial acumen and prior in-house experience, with 12-25+ years' PAE. A background in Mining Services or mining is ideal but not a prerequisite. As the General Counsel, you'll play a pivotal role in the business by advising stakeholders across the company and providing timely, pragmatic, and commercial legal solutions. You'll have a hands-on approach, actively engaging in operational matters to drive initiatives across the organisation while collaborating closely with senior management to meet the company’s legal needs while achieving its business goals. Responsibilities include: Legal and contractual management, including leading negotiations and drafting a variety of commercial contracts. Oversight and responsibility for delivering service agreements, supply and purchase agreements, and advising in relation to joint ventures. Procurement, RFQs and tender documentation. Developing a standardised suite of legal documents and rolling them out with key stakeholders across the business. Advising and assisting in relation to dispute resolution with JV partners and key suppliers, including managing claims and disputes with contractors and suppliers. Corporate governance and board support, including supporting senior management and the Board of Directors on governance matters and assisting with corporate secretarial duties. Regulatory compliance, including compliance with relevant mining legislation, liaising with governmental authorities in relation to regulatory proceedings, and developing and implementing internal policies for regulatory compliance. Reporting to the Commercial Director, you will be able to quickly understand the company’s needs and work with key stakeholders to deliver outcomes across a variety of functions. In building the company’s legal function, you will be committed to building and maintaining positive relationships internally and externally.
