Today, we are Australia’slargest port for zinc, lead, copper, sugar and fertiliser.Additionally, we handle more motor vehicles and containerised goodsthan any other port in Northern Australia. About the role andyou
The Governance and Legal Advisor will facilitate the engagementof legal advice, oversee governance systems and practices andsupport the Board and Company Secretary in discharging allGovernance and regulatory obligations to ensure the Port ofTownsville (the Port) operates ethically,transparently, and in accordance with relevant laws, regulationsand government policy/guidelines.
This role involves assessing legal matters and will support thePort to embed good governance practices by identifying, developingand delivering organisational improvement, business and governanceinitiatives and practices across the organisation, to maximise corebusiness outputs and ensure the achievement of strategic goals inaccordance with regulatory and government guidelines.
As the Governance and Legal Advisor, you will:
- Through the General Counsel, assist with the facilitation of internal and external legal advice and preparation of correspondence and documentation.
- Monitor changes in legislation and regulations affecting the corporation and provide legal interpretations and opinion on compliance issues.
- Review, draft, and negotiate contracts, agreements, and legal documents and ensure that contracts align with legal requirements and protect the corporation’s interests.
- Provide legal guidance on contract disputes and resolutions.
- Establish and maintain relationships with government agencies, departments, and key stakeholders.
- Monitor government policies and initiatives that may impact the corporation.
- Provide advice on engaging with government entities and managing regulatory relationships.
- Ensure the Port operates with the framework or relevant laws, regulations and government policy and monitor changes in legislation and provide guidance on impact and controls.
- Through the Company Secretary, provide support to the Board of Directors and maintain accurate corporate records including agendas, board papers, minutes, workplans, charters and management of company registers.
- Assist with coordination of board meetings by effectively engaging with a range of stakeholders, and collation and quality assurance of board materials.
- Develop, implement, and maintain effective governance frameworks, policies and procedures.
- Support the functioning of governance structures to ensure that they operate in accordance with best practice.
Experience you’llneed
To be successful in the role, youwill require:
Qualifications/tickets/licences:
- Relevant tertiary qualification in Law (LLB or higher).
- National Police Check
Skills andexperience:
- Strong understanding of relevant laws, regulations and government policies through previous experience in legal/compliance roles, preferably within government or public-sector organisations.
- Ability to promote good governance practices across the organisation by developing systems, frameworks, policies, and procedures in accordance with regulatory requirements and the organisation’s needs.
- Experience in the preparation, coordination, and timely delivery of materials for a board / committee and providing advice on the arrangements of board business arrangements.
- Strong analytical skills to assess legal documents, identify risks and make informed recommendations.
- Strong communication and ability to engage and collaborate at all levels of the organisation to achieve sound governance outcomes.
Software/Systemsskills:
- Advanced skills in Microsoft Office suite (mandatory).
- Demonstrated experience in controlled document management software.
- Familiarity with legal research databases and platforms.
- Board portal software (Diligent).
