More information about our HW benefits can be viewed here: bit.ly/HWbenefitsAbout the role and teamWe have an exciting opportunity for a lawyer with 1-2 years of post-admission experience (PAE) to join our Melbourne Corporate & Commercial team, working alongside partners and senior lawyers in a well-established team. Our Corporate & Commercial team in Melbourne has approximately 30 staff members including 9 partners and 14 lawyers. The role will also offer opportunities to work with our Corporate & Commercial partners and lawyers in Brisbane, Newcastle, Sydney and Perth.This is a fantastic hands on corporate & commercial role, with significant learning and development opportunities from the experienced and well regarded team and the opportunity to work with interesting clients. The clients are a broad mix of listed companies, private investors and local privately owned companies and not for profits.
Key responsibilitiesThe successful candidate will be responsible for:- drafting and negotiating transaction documents;
- working on a range of matters relating to corporate/M&A transactions (including due diligence), analysis of legal, contractual and other issues, and attending to regulatory matters;
- liaising with clients and corporate and other advisers, as well as other groups within our firm who provide specialist input on M&A transactional issues (such as our Employment, Banking, Tax, Property and Projects colleagues);
- attending to completion of transactions;
- being part of a team on other commercial transactions, such as capital raisings (private and public), joint ventures, management equity structures, etc; and
- other commercial contracts (not necessarily associated with M&A transactions) from time to time.
Skills and experienceWe would like to hear from you if you have the following skills and experience:
- 1-2 years of post-admission experience in corporate and commercial law;
- experience in M&A transactions;
- technical excellence and a can-do attitude; and
- a commercially savvy approach to M&A.
