SENIOR ASSOCIATE - CORPORATE AND COMMERCIALWe are seeking to appoint a Senior Associate to join our Corporate and Commercial team.The role presents an excellent opportunity to join a supportive and friendly team, and to work closely with experts in the sector.Applicants should have a collaborative and solutions focussed approach, excellent written and verbal communication skills, and the ability to develop strong relationships with key stakeholders. We are looking for a self-motivated individual who will develop into a key member of the team.Responsibilities:
- Advising on not-for-profit mergers and amalgamations, and mergers and acquisitions for both not-for-profit and for-profit (typically private) clients.
- Advising on corporate governance issues (Corporations Act, State/Territory Associations Acts, ACNC governance standards), including directors' duties and liability, conflicts of interest, and election and appointment of directors, and associated disputes.
- Developing and reviewing governing documents (NFP public company constitutions, association rules, private company constitutions) and governing documents (board charters, corporate policies).Advising on major governance reforms.
- Advising on business structures and restructures, including the creation and restructure of companies, trusts, not-for-profit organisations and charitable foundations.
- Developing commercial contracts for business services, management agreements, consultancies, sponsorship, funding and grants.
- Contributing to business development and legal precedents in Russell Kennedy sectors of focus.
- Supporting principals to advise on establishing charitable funds and obtaining tax concessions and endorsements.
- Supporting principals with health professional administrative appeals.
- Supervising and mentoring junior lawyers and law graduates.
- Contributing to business development and marketing activities.
Skills & Knowledge- 4 years+ PAE, working in general commercial matters.
- Experience in the not-for-profit, health, aged care or disability sectors is preferred however not essential.
- Excellent drafting skills and attention to detail.
- Effective communicator.
- Commercially minded with a willingness to work on a variety of matters.
- Well-developed and effective Business Development skills.
- Capable of working with limited supervision.
