The Royal Australian Institute of Architects Ltd (Institute) is the peak body for the architectural profession in Australia, representing approximately 14,500 members. The Institute works to improve our built environment by promoting quality, responsible and sustainable design, promoting the architectural profession and being the public voice for architecture.
The Institute works on behalf of its members and in the public interest to advocate for the value of the architectural profession and for architecture’s contribution to a better built environment and quality of life. The Institute owns 100% of IBL Limited and 50% of Architecture Media Pty Ltd. IBL Limited provides insurance broking services, is an insurance agent/underwriter and also provides risk management services, to clients operating in the built environment sector. Architecture Media is an online and print publisher and events company with its focus on the built environment – practitioners, clients, suppliers and the wider community.
ABOUT THE BOARD
The Institute is a public company limited by guarantee and is governed by an eight-member Board of Directors. The Board composition is:
- five Directors each of whom are elected by the Institute’s National Council from National Council (National Council is an advisory body to the Board of Directors comprised of approximately 20 Members most of whom are elected by Institute Members from the Institute’s membership); and
- three Independent Directors (who are not Institute Members or eligible to be Institute Members) appointed by the Board in consultation with National Council.
The Institute’s Board meets at least six times, with three Board meetings held virtually and three board meetings held in person nationally. In addition, directors are expected to attend at least one National Council meeting in person and any ad hoc meetings of the Board that may arise from time to time. Attendance at additional Institute meetings (including National Council meetings) may arise from time to time.
INDEPENDENT DIRECTOR VACANCY
The Board are seeking to appoint an independent director (who constitutionally may not be an Institute member or eligible to be Institute Member) to Chair the Board’s Finance, Audit, Investment and Risk (FAIR) Committee.
Essential Experience:
- Finance specialist with a relevant tertiary qualification, audit experience, CPA, CA (or equivalent) and significant years partner / executive experience.
- Graduate of the AICD Company Directors Course or equivalent.
- Knowledge of risk and compliance frameworks.
- Previous board experience essential, including experience as a Chair of board Risk and Audit Committee.
Desirable:
- Knowledge / expertise in the insurance or property industry would be valued but not essential.
- Knowledge / expertise in the Digital, Data & Technology or Cyber Security industry would be valued but not essential.

This role can be based in any capital city, with a commitment from the incumbent to travel from time to time.
REMUNERATION
The position is remunerated. Remuneration will be discussed in the interview process with shortlisted candidates.
PROCESS
The successful applicant is to be appointed with a commencement date of 11 May, immediately following the 2024 AGM, with interviews and due diligence to be completed in March and April 2024.
