The opportunity

A rare and rewarding opportunity has arisen within the Legal and Governance team as a Assistant Corporate Secretary which provides support to the General Counsel & Corporate Secretary, Managing Director, Executive team, and Chairs of each Committee of the Board. You will be responsible for coordinating and managing the preparation of all Board and Board Committee meeting papers in accessible format and in an accurate and timely manner.

You will play an integral part in ensuring Board and Board Committee meeting packs, agendas, minutes, and action items are attended to at the right time with a high degree of attention to detail. Additionally, you will oversee organisational governance policies and procedures, and the freedom of information and privacy function alongside managing a Contracts & Legal Administrator.

Responsibilities

  • Maintain effective communication between the Board and ELT secretariat and office of the Managing Director.
  • Act as the key liaison for business units regarding the preparation of Board, Board Committee and ELT papers and draft all meeting agendas, minutes and action lists.
  • Oversee the organisational Conflict of Interest Register and the Gifts Benefits and Hospitality Register and respond to queries across the business.
  • Maintain a current knowledge base of external corporate governance requirements (including under the Water Act 1989), trends and key matters of interest for the Board.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Provide governance training to the business, to upskill in governance literacy.
  • Build strong relationships and proactively engage with key stakeholders across the business.
  • Oversee the freedom of information and privacy functions, providing advice across the organisation and be the external liaison with regulators.

Skills & Experience

  • Previous experience in a board or company secretary or governance role, ideally from within the government sector so you are familiar with additional governance requirements.
  • Exceptional communications skills (both written and verbal) with proven expertise managing Board communications.
  • Highly skilled with MS Suite (Outlook, Word, PowerPoint, Excel) and Diligent (or similar).
  • Excellent organisational and time management skills with the ability to prioritise multiple, competing priorities.
  • Ability to influence stakeholders at all levels to complete action items within deadlines.
  • High attention to detail
  • Self-motivated with a high level of initiative and a focus on continuous improvement.
  • Strong people leadership skills and ability to work as part of a cohesive team.
