CatholicCare Central Queensland is an extremely well-established and well-respected social and community service agency on an exciting journey of growth and transformation. As part of a transition to an incorporated governing body, CatholicCare is seeking to recruit highly skilled individuals to join our soon to be established company limited by guarantee.
As a member of our Board of Directors, you will meet monthly, receiving remuneration for performing the vital role of leading the governance of the organisation. Making strategic decisions to guide the delivery of our mission, vision, and values, you share responsibility for ensuring the continued and sustainable success of a compassion-based agency that prides itself on putting its community and its people first.

About the Positions
Board Director
CatholicCare Central Queensland’s’ Board of Directors are the governing body, overseeing vision, mission, and internal operations of the organisation. Board Directors hold overall fiscal and strategic oversight responsibility for CatholicCare Central Queensland. They are charged with the oversight of CatholicCare Central Queensland’s’ mission. Ultimately, board members serve as ambassadors for CatholicCare Central Queensland’s mission, inside and outside of organisational commitments.
Directors are expected to work collaboratively to carry out the following roles:
- Functions always as a ministry of the Catholic Church;
- Ensure the highest standards of governance are always met, through the development, review and understanding of Governance Policies;
- Be an active participant in the Strategic Planning process to ensure the ongoing viability, sustainability and the future growth of the organisation;
- Actively participate in Board meetings, which are held no less than 10 times per calendar year and run for approximately 2 to 3 hours (this does not include the time to review and analyse Board papers);
- Understand and uphold the Board’s requirements under various Acts;
- Understand, analyse and provide feedback on:
- the organisation’s financials, including financial results, budgets, investments, etc;
- the key performance indicators of the organisation;
- Risk Management framework; and
- Quality Management systems.
- Ensuring that confidentiality is always maintained;
- Ensure all actions align to the best interests of CatholicCare Central Queensland and disclose any actual or potential conflicts of interests; and
- Actively promote CatholicCare Central Queensland’s services and achievements in the community.
Board Chairperson
The Board Chairperson plays a pivotal role in the leadership and operations of the CatholicCare Central Queensland Ltd's Board. Their primary responsibility is to ensure the effectiveness of both the overall Board and individual Directors. Fostering an environment of open disclosure and communication with internal and external stakeholders is crucial for cultivating constructive discussions, debates and decisions.
The key responsibilities of the Board Chairperson include:
- Collaborate with the CEO to contribute actively to the development and implementation of CatholicCare Central Queensland Ltd's Vision, Mission, Values, and strategic direction;
- Lead and encourage internal and external stakeholders to maintain focus on achieving CatholicCare Central Queensland Ltd’s Vision, Mission, and Values as outlined in the Strategic Plan;
- Work with the CEO to ensure that the information provided to the Board is appropriate, relevant, accurate, timely and sufficient for a comprehensive understanding of the organisation's financial position, strategic performance, and overall affairs;
- Facilitate open and constructive communication among Board Members, encouraging their active participation in deliberations;
- Promote and ensure that the Board's governance behaviours, policies, procedures and decisions align with regulatory requirements, the organisation's Constitution, and associated frameworks; and
- Collaborate with the CEO to draft the Board's annual program of work, meeting schedules, agendas, and associated documents, ensuring thorough and objective discussion and decision-making.

Additional Details
The CatholicCare Board will meet monthly with the option to attend either in person or virtually. Remuneration is provided for all positions on the Board. Additionally, Board members are expected to undertake formation in the role, the time for this being in addition to time for their duties as outlined above.

- Aged Care;
- Social Services;
- NFP organisations;
- Clinical Care /Health Services;
- Accounting/Financial;
- Law;
- Government relations;
- Risk management and OH&S;
- IT including cyber security; and
- Strategy development and business development.
