About the team

The Finance, Strategy & Operations (FSO) Division supports CCNSW's strategic ambition by enabling and facilitating the building of a future ready and sustainable organisation. FSO's key objective is to remove any bottlenecks that may impede CCNSW's growth and strategic outcomes, without exposing CCNSW to compliance, governance, cyber, security, or safety risks outside of CCNSW's risk appetite.

About the role:

The Company Secretary works closely with the CEO and COO in advising the Board and its Sub-Committees on governance matters, monitoring that Board and Sub-Committee policy and procedures are followed, coordinating the timely completion and despatch of Board and Sub-Committee papers, ensuring that the business at Board and Sub-Committee meetings is accurately captured in the minutes, and supporting and facilitating the induction of directors.

Key responsibilities of the role:

  • Working closely with the CEO and COO, advises the Board and Sub-Committees on governance matters, including directors' duties under the law, Board reporting, and proper meeting procedures.
  • Plans and organises Board and Sub-Committee meetings, the AGM, and other relevant meetings.
  • Organises, prepares, and circulates the timely dispatch of all Board and Sub-Committee papers, including but not limited to agendas, meeting materials, minutes, and actions.
  • Attends all Board and Sub-Committee Meetings to take minutes.
  • Drafts papers to be presented by the Company Secretary and assists with the drafting of papers to be presented by the Chair, for inclusion in Board and Sub-Committee meeting papers.
  • Manages and updates the Board Software portal and Library with relevant materials.
  • Liaises with external regulators and advisers, such as ASIC and the Australian Charities and Not-for-profits Commission, as required.
  • Maintains statutory books, including registers of members and directors.
  • Provides advice in relation to the adherence of the organisation with the Constitution.
  • Oversees the review of Board and Sub-Committee Charters and the Constitution as needed from time to time.
  • Monitors the Board and Sub-Committee policies, procedures, and charters to ensure that they are up to date and followed.
  • Has custody of the Company Seal and records when the seal is used.
  • Maintains the Business Names Register and manages any registrations as required from time to time in conjunction with the General Counsel, CEO and COO.
  • Organises and facilitates the induction of directors.
  • Assists with the compilation of the Annual Report and its distribution to Members.

About you

Essential:

  • Relevant qualifications, such as AICD or other post-graduate governance qualifications.
  • Proven experience as a Company Secretary, with exposure to the full spectrum of Company Secretary duties, ideally in a not-for-profit or non-government organisation with experience working with voluntary directors.
  • Proven high level written and verbal communication skills, strong interpersonal skills, and high level of attention to detail.
  • Excellent stakeholder management skills, with the ability to develop trusted relationships with the CEO and Board directors.
  • Confident communicator, who can respond to issues promptly, clearly, and effectively.
  • High integrity, ethics, and professionalism.
  • Ability to work with and influence multiple stakeholders.
  • Passionate about customer service and attention to detail to deliver high quality and timely support.
  • Sound judgement with the ability to plan and prioritise, with a can-do attitude to manage conflicting work priorities.
  • Advanced computer skills - proficient in MS Office, Excel, SharePoint.
  • Experience using Board Software portal (such as Diligent BoardEffect or equivalent).
