D'Arcy Weil is representing a prominent player in the energy sector, is seeking a highly experienced and talented Corporate Legal Counsel to join their legal team. As a Leading Energy Retailer, they are dedicated to sustainability, innovation, and excellence, playing a vital role in shaping the future of the energy industry.
Reporting directly to the General Counsel, the Corporate Legal Counsel will provide expert legal advice and support to the business, ensuring compliance with regulatory requirements and mitigating legal risks. The successful candidate will join a collaborative legal team known for its commitment to innovation, integrity, and strategic thinking.
Responsibilities:

Contractual Expertise:
  • Draft and review a variety of commercial agreements, including power purchase agreements and vendor contracts.
  • Ensure contracts align with business objectives and comply with relevant laws and regulations.
  • Provide skilled negotiation support, facilitating favourable contract terms and conditions.
  • Collaborate with stakeholders to streamline contract processes and enhance efficiency.
Regulatory Compliance:
  • Stay abreast of legislative changes impacting the energy industry.
  • Offer guidance on compliance matters, collaborating closely with regulatory affairs teams.
  • Conduct regular audits to ensure adherence to regulatory requirements.
  • Develop and deliver training programs to enhance company-wide compliance awareness.
Risk Mitigation:
  • Identify and assess legal risks, proposing effective strategies to mitigate potential issues.
  • Conduct thorough legal research and analysis to inform business decisions and risk assessments.
  • Implement risk management protocols and continually assess their effectiveness.
  • Work closely with internal teams to develop and implement risk mitigation strategies.
Litigation Oversight:
  • Collaborate with external counsel as needed for litigation matters.
  • Effectively manage dispute resolution processes, aiming for efficient and favorable resolutions.
  • Develop and maintain a system for tracking and reporting on litigation matters.
  • Provide regular updates to senior management on the status of legal proceedings.
Corporate Governance:
  • Advise on corporate governance matters, ensuring alignment with corporate policies and procedures.
  • Participate in the preparation of board materials and attend board meetings as necessary.
  • Oversee compliance with corporate governance best practices.
  • Contribute to the development and enhancement of corporate governance policies.

Qualifications:
  • Bachelor of Laws (LLB) with admission to practice in Australia.
  • A minimum of 5 years of relevant legal experience, preferably within the energy or related industry.
  • Strong knowledge of Australian energy regulations and legal frameworks.
  • Exceptional drafting, negotiation, and communication skills.
  • Demonstrated ability to work independently and collaboratively within a team.
