The Opportunity
Ready to make an immediate impact? Reporting to the General Counsel & Company Secretary this is a great opportunity to be at the core of the business and grow and shape the legal function.
Key Responsibilities include:
- Provision of timely and accurate commercial legal advice to best support the company
- Management and resolution of claims, disputes and litigation
- Provision of industry specific advice on the interpretation and application of relevant laws and regulations
- Company Secretariat support for Board cycle and ASX obligations
- Reviewing, drafting, finalisation and ongoing management of agreements, transactions and new business proposals (including tenders) in order to minimise legal risks and facilitate optimal business outcomes
- Providing support across early stage corporate activities, including initial assessment of opportunities and preliminary due diligence, negotiation of term sheets and memorandums of association, transaction structuring, and appointment of external advisors;
- Assist with all customer facing contracting processes including, franchise agreements, as well as the groups intellectual property assets
We are looking for:
This role will suit Corporate/Commercial/M&A Lawyers who can operate with a high level of autonomy and is seeking complex, interesting and challenging work.
- Current Australian practicing certificate and experience in-house, as well as experience and/or knowledge in FMCG/logistics/pharmaceuticals
- Broad, hands-on experience including commercial agreements, IP, competition, procurement, M&A/corporations, and dispute resolution.
- Skilled legal operator, capable of turning your mind to diverse legal issues.
- Company secretariat skills including drafting policies, board papers, approving delegations, reviewing ASX announcements.
- Commercially minded, you have the aptitude to manage work priorities and the expectations of diverse stakeholders.
- You must be an assured communicator, an expert in written and verbal communication skills, highly developed organisational and planning skills, negotiation and influencing skills.
- Franchise experience would be an considered an advantage, but not required.
