We are currently seeking an experienced Legal Counsel on behalf of our leading IT Consultancy client in Sydney.
This role would ideally suite an ambitious Legal Counsel with notable experience IT services specially Software Licensing Agreements (SLA’s) and managing complex MSA agreements.
Requirements:
- Minimum 6 years experience in drafting, reviewing, and negotiation of medium and large complex RFPs in the IT/BPS/infrastructure domain.
- Prior experience working with large IT consulting/system integrators highly desirable
- Good knowledge of ADM, Managed Services, Software Licensing, and Cloud Services concepts.
- Bachelor’s degree in law from a recognised Australian university, with a practicing certificate as an in-house corporate lawyer to practice in NSW and/or Victoria.
Responsibilities:
- Review and negotiate requests for intents/proposals for IT/BPO outsourcing contracts, non-disclosure agreements, software license agreements, teaming agreements, subcontracts, MOUs, and other related documents.
- Interpret laws to determine their impact on the company's business, initiatives, and transactions, ensuring legal and regulatory compliance.
- Draft and negotiate various IT/BPO contracts, Master Services Agreements (MSAs), Letters of Intent (LOIs), RFPs, non-disclosure agreements, teaming agreements, software license agreements, subcontracts, MOUs, and other information technology-related documents.
- Experience in contracting with Australian public sector, state, and federal governments.
- Knowledge of data privacy laws, contract laws, regulatory requirements under APRA, Australian Consumer Laws, employment laws, and other relevant legislation.
- Ability to draft and negotiate lease agreements.
- Excellent communication and collaboration skills to work effectively with cross-functional teams.
- Maintain high professional integrity, ethical standards, and a proactive approach to legal matters.
