Key Responsibilities:
- M&A Strategy Development: Collaborate with senior partners and clients to develop comprehensive M&A strategies aligned with business objectives. Provide expert input on deal structuring and risk assessment.
- Due Diligence Leadership: Lead and oversee due diligence processes, conducting meticulous reviews of legal documents, financial records, and contracts. Identify and assess potential legal, financial, and operational risks.
- Transaction Documentation: Draft, review, and negotiate complex transaction documents, including merger agreements, asset purchase agreements, shareholder agreements, and ancillary agreements. Ensure accuracy and compliance with legal standards.

- A minimum of 5 years of post-admission experience, preferably gained at a reputable law firm specializing in corporate and M&A law.
- Proven expertise in handling a diverse portfolio of complex M&A transactions, including mergers, acquisitions, joint ventures, and divestitures. Demonstrated success in providing strategic legal advice and structuring deals for optimal outcomes.
- Extensive experience in leading and managing due diligence processes, including a deep understanding of legal documents, financial analysis, and risk assessment. Proficiency in identifying and resolving potential legal issues.
- In-depth knowledge of regulatory requirements related to M&A transactions, including public takeovers, and a track record of ensuring clients' compliance with relevant laws and regulations.
- Exceptional negotiation skills with a proven ability to draft and negotiate intricate agreements, manage client expectations, and effectively resolve disputes. Strong contract drafting and review capabilities.
- Specialized expertise in one or more industry sectors, such as corporate insurance, energy, renewables, cleantech, healthcare, hotels, investment funds, or natural resources, allowing for tailored advice to clients in those sectors.
