YOUR ROLE
We have an opportunity for an experienced Senior Associate to join our corporate and commercial team. You will be involved in advising clients on a range of corporate and commercial matters in different industries and working on a broad range of exciting corporate transactions and projects.
Responsibilities include:
- taking the lead on transactions including managing internal teams
- developing and maintaining strong relationships with our clients
- drafting and reviewing corporate and commercial contracts
- providing advice on and documenting share transactions and asset acquisitions, dispositions and licenses
- advising on business structuring
- providing compliance and regulatory advice.
OUR TEAM
Our corporate and commercial team acts for clients located on the Gold Coast, nationally and internationally. We undertake a variety of interesting and challenging work and pride ourselves on being trusted advisors to our clients. The team is led by Partners, Steve Latham and Ken Petty. We work collaboratively to facilitate learning and development across our team taking our individual skills, expertise, and experience into consideration, but we don’t forget to have fun along the way. At our Gold Coast office we enjoy flexible work arrangements and work from home opportunities, a vibrant social club calendar, and a friendly culture and environment.
WHAT YOU NEED
We welcome applications from lawyers with 10+ years PQE. In addition to your legal knowledge, you will have the ability to mentor junior staff and build authentic relationships with our clients. Pathway to partnership available for the right candidate.
The successful applicant will also have:
- a commercial approach/strategy to all matters
- strong attention to detail
- experience with reviewing and drafting commercial contracts
- experience with drafting shareholder agreements
- business structuring experience
- experience with share transactions e.g. share issues, buy backs and financial assistance
- experience providing advice on Corporations Act and regulatory compliance
- M&A Experience
- the ability to work in a highly collaborative fast-paced environment
- the ability to manage team
- excellent written and verbal communication skills
- resilience and a commitment to excellence
- Skills and experience in the following areas are not essential but would be an advantage:
- franchising
- stamp duty and tax
- finance
