With a proven track record and unwavering dedication to excellence, our client plays a pivotal role in shaping the landscape of intelligent and resilient energy solutions.As the Senior Legal Counsel, you will play a pivotal role in providing legal advice, transaction support, and commercial direction across utility-grade renewable projects and renewable technologies within a global organisation. A key focus will be providing hands-on legal support to the project team in a timely, commercial and pragmatic manner.
Key Responsibilities:
- Offering legal expertise in advancing renewable energy assets throughout the Asia-Pacific region.
- Negotiating a diverse range of commercial agreements, including those for construction, operation and maintenance, subcontracts, equipment sales, and procurement.
- Providing crucial support to Project EPC leadership and procurement teams by drafting, negotiating, and reviewing supply-chain contracts.
- Offering ad hoc legal support and guidance to project teams during the construction phase to proactively mitigate risks and prevent disputes.
- Serving as a vital link between commercial and technical personnel, acting as the central point for consolidating the team's analysis into contracts.
- Demonstrating proficiency in managing complex contracts during the delivery phase.
- Providing comprehensive support throughout the project life cycle, including the preparation of commercial offers and responses to RFPs.
- Reviewing, amending, and supporting the negotiation of all contracts involved in the ordinary course of a project’s lifecycle, such as Professional Services Agreements, Minor Works Agreements, EPC/O&M Agreements, Services Contracts, PPAs, Connection Agreements, NDAs, Joint Development Agreements, and MoUs.
- Assisting in the seamless handover of projects from the contracting team to the implementation team.
- Supporting Project leadership on land-related matters, including the drafting and negotiation of options to lease, licenses, leases, and options to purchase.
- Procuring and managing external legal services along with associated budgets.
- Relevant tertiary qualifications
- At least 7 years’ PQE at a top law firm or strong inhouse practice, in renewables, infrastructure or adjacent sectors.
- Strong experience and technical knowledge in structuring, drafting and managing diverse legal matters in relation to utility-grade renewablesor large social infrastructure development.
- Commercially astute, with sharp analytical skills. Proficient in identifying risks / opportunities and communicating, then devising mitigation plans
- Strong written, verbal and PowerPoint communication skills, with the ability to deliver clear and concise messages to stakeholders
- Able to communicate complex legal issues in a clear and uncomplicated matter to non-lawyers
- Hands-on approach, keen to take initiative and work proactively in a fast-changing and sometimes ambiguous environment
