The Role
Automic Group is seeking an experienced and adaptable Company Secretary who is comfortable being named or jointly named as Listed Company Secretary for our clients. As a Company Secretary, you will collaborate with various departments to deliver exceptional support and services to a diverse range of entities. Your work will enable clients to meet regulatory requirements and enhance their overall business performance.

Responsibilities
- Manage a portfolio of Company Secretarial clients which has engaged Automic Group as its outsourced Company Secretarial provider
- Advising the Board and its committees on governance matters including compliance with the regulatory requirements of the Corporations Act and Market Listing Rules
- Board and Committee meeting co-ordination including the completion and dispatch of board and committee papers, attending and minuting the meetings
- Assist clients with meeting periodic reporting requirements
- Manage shareholder meetings including the drafting of notice of meetings
- Acting as the main communications officer with stock exchanges in Australia
- Advising and preparing director notices and lodgements required under the listing rules and Corporations Act
- Administration of all functions required for public listed entities, which includes preparing and lodging all ASX communications
- Administration of ASIC reporting and compliance requirements, including management of ASIC Registered Agents portals
- Liaising with interested stakeholders, such as regulators, shareholders, senior management, investors, registries, and other advisers
- Leadership, development and training of Assistant Company Secretaries
Demonstrated Capabilities
- Hold a relevant tertiary qualification
- 4+ years of experience within a Company Secretarial role
- 1+ years of practical ASX experience, with an in-depth understanding of ASX Listing Rules
- Demonstrate expertise in the Corporations Act along with ASIC requirements
- Organisational skills combined with a strong attention to detail
- Outstanding communication, relationship management and presentation capabilities
- Proven ability to work effectively both based on individual and team requirements
- Capable of managing individuals effectively
- Professional Services experience and knowledge of JORC reporting requirements is advantageous, but not essential
