About the role
In this role, you will report to the Company Secretary to support the Ampol Group. You will ensure the Ampol group of subsidiaries, investment companies, trusts, joint venture boards and foreign entities comply (as required) with the Corporations Act, their governing documents and Ampol’s policies and procedures, including maintaining a fit for purpose governance framework.
Key responsibilities:
Provide governance advice for wholly owned subsidiaries and nominated Joint Ventures (JVs) in Australia and overseas and managing all Secretariat duties
Own the Ampol Limited/ Board & Committees dividend process with the registry and payment to shareholders
Coordinate responses to statutory record and related regulatory requests from the ATO, ACCC and ASIC and working with the Company Secretary to finalise the requisite documentation
Assist with full year and half year reporting obligations to ensure that the compliance requirements of the Annual Report and that Ampol’s disclosures are fit for purpose
Assist in maintaining an appropriate corporate governance framework, including reviewing corporate governance policies, procedures practices, related processes and projects
Monitor and maintain Secretariat inbox and respond to external enquiries as required
About you
The successful candidate will compliance and governance relating to subsidiaries in a previous Company Secretary role. You will have strong time management skills and confident in liaising with stakeholders at all levels. You will be skilled in preparing minutes and managing actions.
Key skills and experience:
Governance Institute of Australia qualification as a Chartered Secretary or Tertiary qualification in Business, Commerce or Law or equivalent experience.
Detailed understanding of the Corporations Act, corporate governance principles and their practical application
Extensive experience as a Company Secretary for an ASX100 listed company
Experience in preparing documents for external publication
Experience in Diligent Boardbooks and Diligent Entities
