Role Type: Permanent, Full timeTo support the Deputy Group Company Secretary in managing governance services to the Suncorp Bank Group.Completion of ANZ's acquisition of Suncorp Bank remains subject to legislative amendments by the Queensland Parliament and approval by the Federal Treasurer. Assuming these conditions are satisfied, completion of the acquisition is expected to occur in or around mid-calendar year 2024.What will your day look likeProviding full suite of corporate governance services with a focus on ASX Listing Rule and Corporations Act requirements, including in relation to the following areas:
- Attendance at Suncorp Bank Board Committee meetings and assisting with Board governance of the Suncorp Bank Group;
- Attendance at Suncorp Bank subsidiary board meetings and day to day responsibility for the Suncorp Bank subsidiary entity framework;
- APRA standard and ASIC regulation compliance, including Fit and Proper and Governance Prudential Standards;
- Suncorp Bank Governance Policy management, including Suncorp Bank Delegations of Authority framework and associated policies; and
- Liaising with and training Suncorp Bank Executives on ANZ requirements.
- Managerial experience and governance expertise, including compliance with ASX Listing Rule and Corporations Act requirements.
- Governance Institute of Australia membership and/or other governance experience/qualifications strongly desired
- Proven people leader with an ability to manage a subsidiary governance function, and foster/develop relationships within ANZ, Suncorp Bank and externally.
- Strong attention to detail and be able to manage competing priorities.
