We are currently seeking a highly skilled and experienced professional to join our team as the Head ofGovernance and Joint Company Secretary.About the RoleAs the Head ofGovernance and Joint Company Secretary, you will be responsible for providing counsel to senior management and the Kelsian Board in relation to corporate governance matters including ensuring that the group has a robust governance framework and good governance practices which are operating effectively to ensure compliance with relevant laws and internal policies.As one of the joint Company Secretaries, this role is responsible for supporting the Board and ensuring the proper functioning of the Kelsian Board and its subsidiary boards.Key Responsibilities:

  • Lead and manage governance risk by providing strategic legal and corporate governance advice to the Board, senior management and the business.
  • Oversee and managing (maintain, enhance and continually improve) the company’s Governance Framework, including policies, procedures, and controls to support optimised performance and support good corporate governance.
  • Ensure effective governance structures and reporting to enable monitoring and provide assurance on compliance by the operating businesses with relevant laws, and regulations, and corporate governance best practices.
  • Provide guidance and support to senior management and the board of directors on governance matters and ASX Listing Rules and ASX Corporate Governance Principles and Recommendations.
  • Provide high quality, expert advice to enable business units to help them understand and enact their obligations, including overseeing and embedding practical, user-centred resources, tools, and templates.
  • Manage the company’s corporate records and ensure that they are accurate, up-to-date, and accessible.
  • Collaborate with internal and external stakeholders, including executive and senior management, directors, legal counsel, auditors, and regulators, on governance-related issues.
  • Uplift organisational capability in governance including shaping learning opportunities and driving a pro integrity culture.
  • Monitor and report on governance performance and compliance to senior management and the board of directors.
  • Ensure the business of the Board and Committee meetings is conducted properly and minuted, as well as implementing appropriate governance processes expected of an ASX listed company.
  • Ensure a valid and effective AGM is held each year together with any other general meetings of shareholders required from time to time.
About YouThe successful applicant must possess the following qualifications, skills and experience:
  • Experience: Proven experience of 5-10 years in corporate governance compliance, or a related field.
  • Skills: Excellent communication, interpersonal and leadership skills. Ability to work independently and collaboratively in a fast-paced environment. Strong analytical and critical thinking skills.
  • Qualifications: A bachelor's or advanced degree in law, governance, or a related field (such as risk, strategy, audit).
