As the organisation continues to grow and transform, a strategic leadership opportunity has arisen for an established Lawyer and Governance professional to impact in this critical Head of Legal & Company Secretary role.
Reporting to the Chief Risk Officer and working collaboratively with the Executive Leadership team and Board Directors, you will be responsible for leading the governance, corporate legal and regulatory affairs functions across the organisation, including undertaking the Company Secretary and Privacy Officer roles.
Further role scope includes responsibility for:
- All regulatory, governance and legal obligations applicable to the organisation both current and emerging;
- Supporting the effective operation of the board by monitoring that board policy and procedures are followed, and coordinating the effective management of board and committee meetings and calendars;
- Providing advice and implementing good governance practices including embedding clear accountabilities and policy frameworks;
- Providing corporate legal services including contract reviews, legal advice and collateral reviews; and
- Ensuring appropriate frameworks and practices are in place to manage privacy obligations.
You will be a strategically focussed and pragmatic senior lawyer and governance professional with significant legal and company secretarial experience gained within financial services. You will also be able to display an ability to think strategically and apply critical thinking skills, with the ability to work and lead effectively in an agile and flexible environment. In order to excel in this truly collaborative team, you will have strong people leadership skills, an ability to develop a high performing team and influence change. With superior interpersonal skills, you will be able to engage effectively with a range of stakeholders, quickly building trust and rapport within this non-hierarchical environment. Accreditation/certification in Governance and/or Australian Institute of Company Directors (or working towards/willing to obtain) will be an advantage.
