How will I help?
We have a fantastic opportunity for an experienced lawyer and governance advisor to work within the company secretariat team in one of Australia's major financial institutions.
The Westpac Group is a complex business that operates in several domestic and offshore jurisdictions. Like all major financial institutions, it is subject to constant scrutiny by regulators, shareholders and the community. This scrutiny focuses on (among other issues) Westpac's approach to corporate governance and its current practices.
Responsibilities are but not limited to:
  • Assisting the Deputy Company Secretary (Board Governance & Operations) on a range of matters for the Westpac Board, including from a directors' duties and FAR perspective.
  • The fundamental aspect of the role will be to assist on matters relating to the Westpac Board and the Board Committees
  • Provide high quality advice to the Westpac Group that is accurate, timely, cost effective and commercial.
  • Acting as an expert consultant on particular legal and secretariat projects or issues as requested.
  • Partner with key internal business partners.
  • Provide practical and professional counsel to the business on all matters of corporate governance.
  • Provide advice and guidance to executives to comply with legal, corporate and statutory requirements and to act in an ethical manner.

What do I need?
Prior experience in advising Boards and senior stakeholders in relation to their legal obligations would be highly regarded. Your experience could have been gained either as an in-house counsel with a major organisation, or in a leading law firm. Experience in advising on BEAR/FAR regimes would be an advantage.
  • We want to hear from lawyers with at least 7-10 years' experience in corporate law and corporate governance
  • Proven understanding of the Corporations Act, ASX Listing Rules and other relevant legislation.
  • Experience in providing advice in relation to board meetings, board papers, board and committee charters, director accountability statements, annual general meetings and corporate reporting.
