ABOUT THE ROLE
The Assistant Company Secretary collaborates with the Company Secretary and the broader CA ANZ Governance team to support ethical leadership, enhance members’ experiences, and ensure the effective operation of governance bodies—including the Board, Board Committees, and the Council – in accordance with CA ANZ’s Supplemental Royal Charter, By-Laws, and relevant legislative obligations.
Key responsibilities include:
Draft meeting agendas and prepare Board, Council, and Committee packs for distribution.
Serve as secretary for various meetings, preparing accurate minutes promptly.
Coordinate meetings and governance requirements for overseas subsidiaries in Hong Kong, the UK, Malaysia, and Singapore.
Assist the Company Secretary in providing governance services and advice to the Board and Council and members of Board and Council committees.
Take a lead role in coordinating the annual Regional Council elections and the CA ANZ Annual General Meeting.
Review and amend Constitutions, Charters, and other governance documentation as needed.
Assist in identifying, analysing, and reporting on regulatory developments and corporate governance best practices.
Support Council, Board, and Committee evaluation, induction, and orientation activities.
Provide specialist advice regarding governance bodydecisions, ensuring compliance with By-Laws, Charters and relevant legislation.
Ensure compliance with legislation, including preparing and filing statutory returns, and maintaining governance documentation.
ABOUT YOU
The position will suit someone who appreciates working in a fast-paced and challenging role, who is digitally savvy, pro-active and a self-starter who learns quickly. To be considered for this role you will have:
Governance-related tertiary qualification or a degree in law
Previous experience in a similar role, ideally 2+ years
Experience working in a regulated environment or experience in dealing with ASIC, ASX or TEQSA
Knowledge of legislative framework surrounding the legal obligations relating to the role of a Company Secretary and to the Board regarding governance matters
Excellent written communication skills to assist in the preparation of minutes, reports, and correspondence.
Strong organisational skills and attention to detail, with the ability to meet competing and rapidly changing deadlines and requirements.
Strong interpersonal skills and the ability to establish effective working relationships at all levels, particularly senior levels.
The ability to work independently and as part of a team to achieve successful outcomes.
