Reporting to the Manager and General Counsel, this pivotal role will perform the role of Assistant Company Secretary and will oversee all secretariat and governance matters, ensuring that the company maintains best practice corporate governance through administering compliance with the Corporations Act and other statutory obligations.
This position will work closely with the company’s global internal and external stakeholders, and will guarantee that all corporate tasks are managed, particularly in respect to all administrational and company secretarial duties.
KEY RESPONSIBILITIES
- Execute all duties of a Company Secretary as required by the Company’s Institution and Corporations Act, including providing advice to the Board, maintenance of statutory records, management of legal and compliance matters etc;
- Attending board meetings and perform minute taking and follow up of actions;
- Prepare secretarial reports to the board regarding disclosures, changes in laws/regulations, and corporate governance;
- Manage the relationship with all corporate entities, and drive the operation of the Company’s committees; AND
- Liaise with all relevant internal and external stakeholders including lawyers, accountants, and other professional advisors when required.
IDEAL CANDIDATE
- Essential tertiary qualifications within Law/Legal, Business, Commerce or relevant field;
- A Diploma in Applied Corporate Governance/GAICD highly advantageous;
- Ideally has at least 5-6 years’ of Corporate Secretarial experience in a complex organisational structure preferred;
- Demonstrated understanding of the legal and commercial requirements of this role;
- Solid stakeholder management and communication skills both written and verbal;
- Can maintain confidentiality and discretion in all relations;
- Greatly proactive, can show initiative and work autonomously as part of a global team;
- Highly organised and detail orientated; AND
- Strong capability to act quickly to changing priorities, and operating effectively under pressure.
