About the RoleWe are passionate about people and it is with pleasure that we announce an exciting opportunity. The Board Secretary sits within the Corporate Service team, reporting to the Chief Operating Officer.
Primary responsibilities include:
Secretariat function
- Assist with the management of all board and committee communications to internal and external stakeholders.
- Contribute to the development, review and continuous improvement of secretariat procedures and the broader function.
- Record and manage decisions and actions from board and committee meetings. This includes attending meetings and taking accurate minutes, distributing outcomes to relevant parties in a timely manner and in the correct format in accordance with the APS standards.
- Manage board and committee documentation. This includes preparing agendas, ensuring documentation adheres to APS standards, and that the content is relevant and complete.
Stakeholder management
- Establish and maintain effective relationships with key stakeholders internally and externally
- Respond promptly and courteously to stakeholder requests, collate and disseminate relevant information, resolve standard problems, escalate issues when required.
- Foster collaborative working relationships with board/committee chairs as appropriate.
Governance support
- Contribute to annual audit and company reporting activities.
- Manage and deliver general meetings of members, including annual general meetings and manage and deliver annual Board elections and appointments, including Board committee appointments in accordance with the APS constitution and applicable legislation.
- Prepare statutory filings for review and submission to applicable state and federal regulatory agencies.
- Provide advice and support across all areas of governance.
- Provide high-level administrative leadership, including review and evaluation of Committee operations, Board meetings and annual appraisals of Board skills.
We work in a hybrid model. Most team members currently work from home, with the option to work in our Melbourne CBD office when it suits them, or as the business requires (ie for large planning meetings).
Our Ideal Candidate
We are looking for a motivated and detail orientated professional, ideally experienced in governance structures for member based/not for profit operating context.
Key Selection criteria includes:
- Demonstrated high level experience supporting a Board
- Highly developed communication and interpersonal skills, ability to liaise and consult at all levels of the organisation, key stakeholders and external advisors
- Highly developed writing skills, including the ability to prepare concise summary documentation and advise management on best practice Board paper writing
- Proven ability to coordinate activities, prioritise issues and meet deadlines
- Demonstrated experience in managing key stakeholder relationships
- Experience in the Diligent Board paper electronic platforms preferred
- Post-secondary and/or tertiary qualifications combined with relevant work experience advantageous
