About the Job

The role supports the administration of the Rest Group and Board’s affairs to ensure compliance with corporations, trustee and other relevant laws and coordinates the delivery of company secretarial services to the Board, ensuring the timely and efficient administration of all actions leading up to and following on from Board meetings and relevant Committees. Specific tasks include:

  • Assist the Company Secretary, Deputy Company Secretary and Assistant Company Secretary to carry out the mandatory duties of the Company Secretary under the Common Law and Corporations Laws of Australia, predominantly to-do with proper administration of the Group and Board’s affairs to ensure compliance with statutory, regulatory and Prudential Standards.
  • Assist with preparation of Board and Committee agendas and papers in consultation with the Deputy Company Secretary and Assistant Company Secretary to ensure the timely delivery of this documentation to Board and Board Committee members prior to each meeting.
  • Board and Committee meeting coordination. Including, but not limited to, meeting room set up, clean-up, catering and coordination of attendees, via electronic means and/or in person.
  • Provide support for Rest’s Directors and Alternate Directors with enrolment in training courses, travel, and expenses.
  • Maintain statutory registers for all Rest entities, relevant records and undertake administrative processes.
  • Maintain governance and secretariat content on the Rest intranet and website.
  • Maintain and monitor Board and Committee content on BoardVantage.
  • Other governance and secretariat work as required from time to time.

Qualifications

About You:

  • An undergraduate qualification in a relevant discipline.
  • Completion or a willingness to complete further studies at the Governance Institute of Australia (GIA) or equivalent.

Required experience, understanding or credentials including:

  • Excellent communication skills and experience (inclusive of listening, comprehension and writing), to enable liaison with Board members, professional advisers, relevant authorities and internal staff.
  • Demonstrated problem solving skills.
  • Excellent organisational and planning skills and experience.
  • A diligent, dependable person able to act independently; be accountable for their responsibilities and take initiatives to implement change.
  • Demonstrated ability to work in an environment requiring strong attention to detail and accuracy.
  • Computer literate. Intermediate to advanced skill level in Microsoft Office applications.
  • Demonstrated ability to work under pressure, including the ability to adapt to a changing environment, manage multiple tasks, prioritise work manage time and meet deadlines.
  • Understanding of the business administration and management of Trustee entities.
  • Understanding of the key obligations relating to managing a superannuation fund, particularly from a Trustee perspective.
  • Good understanding of the financial services regulatory environment, including licensing.

Experience lodging forms with ASIC would be considered preferable, but not essential.

  • Detailed working knowledge of, and experience in using BoardVantage or an equivalent application.
  • Experience minute taking, or a desire to learn would be considered favourable.
