TheCompany Secretary is the linchpin for effective governance and administration of the organisation. This role involves ensuring the smooth operation of the Board's activities, maintaining the highest compliance standards, record-keeping, and communication. The individual will firmly commit to supporting student representation in a transparent manner within a complex not-for-profit framework.
Key Responsibilities
• Ensure all board and board committee meetings are effectively organised and minuted, maintaining legal compliance with not-for-profit governance standards.
• Facilitate board communications, prepare agendas, and distribute meeting materials in a timely manner.
• Maintain essential records, including minutes of meetings, board papers, board policies, resolutions, and other statutory documents.
• Ensure all documentation is accessible, organised, and securely stored.
• Assist in developing and reviewing governance policies and practices, ensuring they meet regulatory requirements and reflect the Guild's mission, vision, and values.
• Serve as a key liaison between the Board, Committees, and Subcommittees, ensuring effective communication and information flow.
• Address inquiries from Board members and provide administrative support as needed.
• Organise Board retreats, workshops, training sessions, and other governance-related events, ensuring they are executed smoothly and effectively.
• Assist in preparing and presenting board papers and reports on governance activities, compliance matters, and other issues as required by the Board.
• Work closely with various stakeholders, including students, university administration, and external partners, to promote and advocate for the objectives and goals of the Guild.
Qualifications
• Bachelor's degree (or working towards) in business, law, public administration, or a related field (required).
• Experience in governance, board support, or a similar role, preferably within a not-for-profit or education environment (desired).

• Strong understanding of governance principles, regulatory compliance, and best practices in not-for-profit management.

• Flexibility to adapt to changing demands and workloads.
• Proficient in office software (Microsoft Office Suite & SharePoint).
