Our Group Secretariat team are dedicated people who provide corporate governance advice and corporate secretariat services to the Commonwealth Bank Group’s wholly owned onshore and offshore Subsidiaries, and their Boards of Directors and Committees.
Working in this team, no two days are the same. You will be tasked with providing high quality secretariat and governance services for a portfolio of onshore subsidiaries in one of Australia’s largest financial services organisations.
Do work that matters
In this role you will provide dedicated company secretarial services and corporate governance advice to a portfolio of onshore Subsidiary companies in the Commonwealth Bank Group, and by doing so you will ensure that the Group Secretariat team delivers on the goal of supporting the Boards in carrying out their governance roles. As a Company Secretary, you will:
- provide high quality secretariat and governance services
- be able to work autonomously at a high level in compliance with the Group Secretariat Procedures Manual and Group policies and risk procedures
- contribute to the knowledge, growth and development of the Group Secretariat team
- engage internal customers and senior stakeholders as a trusted advisor
- assist in the overall performance of the Group Secretariat team and its compliance with the Group Secretariat Procedures Manual and Group policies and risk procedures
- support the relevant subsidiary Board of Directors to carry out its governance role
- ensure that the relevant subsidiary Board meets its obligations to corporate regulators
- apply good judgement and ensure Secretariat continues to operate in accordance with the Group’s risk and compliance framework.
- Thorough knowledge, understanding and application of company secretarial best practice, relevant legislation and corporate governance practices with a minimum of 5 years relevant experience
- Tertiary qualifications in either law, business or finance degree
- Graduate Diploma of Applied Corporate Governance (GIA)
- Ability to prioritise, meet deadlines and make sound judgements
- Demonstrated ability to work autonomously and as part of a team
- Excellent attention to detail and commitment to continuous development
- Risk mindset, with a demonstrated ability to proactively identify and understand, openly discuss and act on current and future risks and comply with detailed policies and procedures
- Proven track record of establishing good relationships with senior stakeholders and ability to ensure effective information flows between Directors and Management
- Excellent communication skills, strong stakeholder engagement and influencing skills with the ability to build rapport at all levels across the organisation.
