About the team
Our Company Secretariat team is responsible for the efficient governance of the AICD, in particular ensuring compliance with statutory and regulatory requirements and ensuring that decisions of the board of directors are implemented.
About the role
Reporting to the Company Secretary, you will play a pivotal role in supporting the Executive Leadership in the effective governance of the AICD.
As the Deputy Company Secretary, you will draw on your strong communication and relationship development skills to partner with a range of internal and external stakeholders (including AICD members) to ensure the AICD's company secretariat, governance, and regulatory obligations are met. In addition, you will also ensure the Board and Board Committee processes run efficiently and effectively.
You will be comfortable working autonomously and taking the lead on governance, compliance and Board and Committee matters. You will also contribute to the development of the departments' operation and strategic plan, suggesting ideas that create solutions for the team and in turn, the AICD.
To ensure your success in this role, you will be supported by a Secretariat Coordinator and Division Council Coordinator, and you will value mentoring, training, and developing your team members to help them achieve their career objectives.
Your remit will be broad and will include:

  • Ensuring the governance of the AICD is compliant with the AICD's Constitution, Charters, and best practice governance principles.
  • Ensuring the AICD's governing documents are contemporary and comprehensive, and you will provide advice to the CFO / Company Secretary regarding any changes that may be necessary.
  • Ensuring all governance and reporting requirements of all regulatory bodies are fully met.
  • Providing governance support to Division Councils, overseeing, and managing the annual Division Council election process.
  • Establishing a forward program of Board and Committee meeting dates and core agenda items.
  • Ensuring papers for each Board and Committee meeting are prepared and forwarded to directors prior to the meeting.
  • Maintaining a complete set of Board and Committee papers in accordance with legal retention requirements.
  • Preparing for and attending all General Meetings of the AICD, including the AGM.
  • Recording, distributing, and maintaining the minutes of all General Meetings of the AICD.
Desired Skills and Experience
About you
You will have strong technical aptitude and previous relevant experience, and you will champion the AICD values of: Accountability, Respect, Excellence and Collaboration. In addition, you will also have the following:
  • Considerable experience as a Company Secretary or Deputy Company Secretary gained at a medium-large sized organisation of similar complexity (NFP experience advantageous)
  • Sound judgment with a demonstrated ability to provide effective verbal and written advice on governance matters.
  • Strong interpersonal and stakeholder management skills with experience working with Executives and Directors.
  • Exceptional communication, time management and organisational skills, including the ability to work under pressure to meet deadlines.
  • Completion (or working towards completion) of the Graduate Diploma of Applied Corporate Governance.
  • Previous board management software experience (Diligent and BoardEffect advantageous).
