The position of General Counsel and Company Secretary will play a pivotal role in steering the organization through legal, regulatory, and governance landscapes. You will report to the Chief Financial Officer and as Company Secretary you will also have the functional reporting to the Chair of the Board and the Board as a whole.
As Head of the Legal Team, you are a trusted advisor and lead of team of specialists in the provision of high-quality legal advice and support to the management and the Board. You are accountable for ensuring that the Bank complies with its statutory regulatory and prudential obligations, working with and advising executive stakeholders and where necessary the Board on legal risks and partner with internal and external parties in assisting the bank to achieve its commercial objectives.
As Company Secretary you will guide the Board, CEO and Executives in the management of their corporate governance obligations as required by the Corporations Act and Constitution, Charter and Policies. You will lead the Company Secretariat team, ensuring it has the resources and capability to manage the Group Board meetings and comply with statutory obligations under relevant laws and regulations. You will work with your team and peers across the first, second and third lines of defence to ensure material risks are identified, escalated and managed appropriately.
Leading both functions, you will coach and develop a highly engaged team of professionals, empowering them to continue their growth and maximising their capability whilst focussing on disciplined execution and being hands on when required.
As a senior executive with broad corporate governance responsibilities, you will work closely with the Risk Management function and help to embed a proactive and positive risk-aware culture across the bank. You will be a key contributor to the senior leadership team, and represent the CFO division with key stakeholders, clients and team members, both internally and externally.

Experience and skills required:
  • Over ten years in a similar role within a financial institution or demonstrated in-depth knowledge and experience of legal issues, legislation and prudential regulations that apply to a Bank and/or its subsidiaries.
  • Strong and effective strategic, leadership and management skills delivering legal services in a fast-paced, complex and highly regulated environment
  • Proven success in proactive stakeholder engagement and education
  • Demonstrated relationship management, consulting, negotiation, and facilitation skills
  • Strong experience in delivering timely and accurate reports to a board, governance structure and senior executives
  • Strong experience in identifying, communicating, advising and educating on regulatory, compliance and legal developments to an organisation
  • Strong people leadership and coaching skills, and effective time management and organisational skills in managing a high performing team
  • Bachelors degree in Law accredited in Australia
  • Current unrestricted practicing certificate in relevant Australian State
  • Governance Institute of Australia qualification and/or Australian Institute of Company Directors qualification
  • Knowledge of the requirements of a Company Secretary role, corporate governance, and the operations of board and executive processes in a corporate environment

Preference is for the role to be based in the Brisbane Office, however commuting between the Sydney/Melbourne and Brisbane offices will be considered.
