The Governance Officer supports the Company Secretariat Team. This role will perform a variety of tasks, duties and responsibilities within the Fund’s specialist Governance division, including providing secretariat and governance support to Board and Management Committees.
The role will deal with highly confidential information and will liaise with a variety of internal and external stakeholders at all levels.
The candidate must have the capability and experience to manage pressure, tight timelines, have strong attention to detail and the ability to manage competing stakeholder priorities. It is preferred that the candidate has a background in Superannuation and/or Corporate Governance.
The role will have broadly (but not limited to) the following responsibilities:
- Provision of full suite secretariat and governance services to Board, Committees, Management Committees and Shareholders (including though however not limited to):
- meeting agendas, action registers, minutes, papers, attendance and quorum checks, charter reviews, meeting conduct, checklists, Chair liaison, upholding Cbus Governance practices, etc.
- Writing Committee reports.
- Assist in the administration of the Fund’s Fit and Proper program including appointments, annual checks and skill matrices.
- Become the Governance expert user for the Fund’s Board and Committee reporting portal (Diligent) - training will be provided.
- Contribute from a Governance perspective to the Annual Report, tender and merger processes as well as rating agency and award assessments.
- Assist on major projects or associated tasks as required.
- Superannuation Governance or Corporate Governance experience is preferred.
- Effective time management expertise and the ability to prioritise over a range of tasks and stakeholders.
- Well-developed interpersonal skills and ability to liaise across the Fund and its strategic partners at all levels.
- Excellent written and verbal communication skills.
- Understanding of confidentiality and how to handle a range of confidential information.
