Buninyong & District Financial Services Limited (BDFSL) operates a locally owned franchise of Bendigo Bank (Community Bank Buninyong) and exists for the purpose of distributing profit back into meaningful community projects. Over 13 years, this award-winning organisation has returned over $1.9m to community.
BDFSL is recruiting a Company Secretary with previous experience and proven skills in providing corporate governance, administrative support and regulatory guidance to boards and executive management teams.
The Role
The role reports to the Chair and works closely with the Treasurer, Directors, and other key members of the organisation. You will be responsible for the smooth operation of the business, by overseeing the management of corporate governance compliance, financial and legal regulations, advising, guiding and assisting the board and executive management team and managing additional corporate administration matters, as required.
Additional duties include but are not limited to:
- Drafting and circulating board meeting agendas
- Preparing board papers and share trading reports
- Minute taking at board meetings and circulation of board meeting minutes
- Coordinating annual report and annual general meeting planning
- Ensuring the compliance of all ASIC requirements in relation to trading in the securities of the company.
This dynamic role will operate on a flexible, part-time basis and would ideally suit someone returning to the workforce or scaling back from a full-time position.
The Requirements
- Extensive experience in senior leadership and people management
- Prior experience working with, advising and supporting boards
- Ability to translate governance theory into appropriate frameworks and policies to suit the business context
- Sound knowledge of the legal obligations of a Company Secretary role
- Demonstrated experience developing, implementing and adhering to policies, procedures and governance structures
- Proficient leadership and influencing skills to manage and advise employees at the executive level or otherwise, on content and style requirements of presentations for board papers and related information
- High-level stakeholder management skills and ability to develop effective working relationships at all levels
- Strong organisational, negotiation and project management skills
- Well-developed skills in Microsoft Office Suite
- Previous experience operating in the capacity of a Company Secretary is preferred
- Flexibility and availability to attend board meetings.
