As our Assistant Company Secretary here at FNZ, you will provide comprehensive company secretarial and corporate governance support within our organization. You will support the APAC Company Secretary by managing agendas, forward planning, collating and distributing meeting packs, producing draft minutes, and tracking to closure actions arising from meetings for the APAC Board, APAC Risk and Compliance Committee, and the APAC Audit Committee.
Additionally, you will offer support to other Board and Committee meetings as needed, providing guidance and training to colleagues responsible for meeting support. You will also support the Chair, Executive, and Non-Executive Directors of each Board and Committee as necessary.
This role will work closely supporting senior leaders across our APAC business. This is a unique opportunity to grow your career, be it in legal, or in a corporate secretary role.
Your responsibilities will include:
Developing and maintaining company secretarial policies and procedures, including the Conflicts of Interest Policy and Register, the Board Procedures Manual, and meeting protocols
Ensuring that corporate compliance requirements are met
Overseeing outsourced secretariat services in other APAC jurisdictions
Managing beneficial owner compliance
Filing statutory accounts and other required filings
Managing document execution processes and maintaining systems for filing contracts
Reviewing and maintaining Terms of Reference for Boards and Committees
Supporting the Company Secretary in an annual review of the effectiveness of Boards and Committees
What are we ideally looking for in a successful candidate?
Ideally you will have experience in an Assistant Company Secretary role or similar positions - such as a paralegal, or legal secretary.
You will be confident in working with Senior Leaders and other internal/external stakeholders – both written and in person.
Excellent communication skills – both written and verbal.
Strong time management skills, with demonstratable examples managing conflicting deadlines/processes.
Experience of supporting Board Risk Committees and Executive Risk Committees within a regulated financial services business is desirable however training will be provided to the right candidate.
Experience in the financial service industry would be beneficial.
