The opportunity
The Investment Legal Team (currently 6 lawyers) is embedded in the Investments Team and provides advice across the following Investment areas: Equities, ESG, Fixed Interest and Cash, Private Markets (Infrastructure and Private Equity), Property and Investments Operations
This role is accountable for ensuring that UniSuper is always in the best possible legal position by helping with both internal and external Investment Management Agreements across all asset classes. Your daily responsibilities will be:
- Legal advice and documentation in relation to all agreements associated with listed securities including investment management agreements, agreements for trading services directly or indirectly provided by our custodian, other trading related agreements (Bloomberg, FX, clearing and give-up agreements etc.) broker agreements, research related agreements (indices providers and portfolio analysis providers) and related unlisted agreements (e.g. ISDAs and associated margining documentation and requirements)
- Co-ordinating and or advising on all aspects of unlisted investments (both direct and via pooled vehicles and both domestic and international) including structuring, due diligence, documentation (constituent documentation, shareholder agreements, subscription agreements, side letters etc.) and settlement
- Reviewing investment-related marketing and disclosure material, including product disclosure statements, IBR documents and internet publications
- Working with our ESG team to ensure all relevant legal issues are considered in our ESG policies, product design and implementation, reporting, disclosures, company engagement and member engagement
- Advising on the resolution of significant disputes concerning the Fund's investments
- Reviewing, updating, drafting and ensuring ongoing compliance with policies for the Investment Department including preparation and/or review of Investment Committee papers
- Liaising with APRA regarding investment related prudential regulation, as well as with external law firms
About you
To be successful in this role you will exercise independent judgment on legal matters to protect the position of the Trustee and the Fund. You will also operate with a level of autonomy and accountability as an effective advocate who can articulate a persuasive point of view orally and in writing.
Besides, you will have:
- Ability to work within a fast-paced environment which involves being highly numerate and fluent and familiar with investment and market concepts and terminology
- Relevant Legal qualifications
- At least four to six years PQE legal practicing experience at a national law firm or within investment management, financial services, bank, investment bank, superannuation or related industries
- Experience dealing with listed securities and the legal issues involved with trading and managing listed securities is desirable
- Internal or external Investment Manager experience across equities, fixed interest, derivatives would be highly regarded
- An understanding of investment concepts and operational aspects of investment management and investment administration
