- Provide legal advice, advice on risk minimisation and proactive/reactive legal risk analysis demonstrating a strong commercial understanding to all areas of Capricorn in accordance with the Legal Services Policy and relevant laws and regulations;
- Identify and advise on the impact of regulatory changes and emerging changes to the legal environment
- Conduct legal reviews of project, product, and marketing initiatives and provide solution-oriented practical advice to facilitate operations
- Work closely with senior management and project teams to identify legal risks and promote compliance with applicable laws;
- Participate in working groups as required in order to support delivery of key projects;
- Prepare and manage the issue of prospectuses and product disclosure statements;
- Negotiate and draft a variety of commercial agreements;
- In partnership with the Risk, Assurance & Compliance team, develop, implement and monitor compliance programs; and
- Promote and champion continuous improvements and innovations in the legal team consistent with Capricorn's prevailing strategy;
- Advise Senior Management and project teams on legal risks and ensure compliance with applicable laws
- Manage day-to-day accountabilities of the legal team including performance management, recruitment, budgeting, continuing education, systems development and staff training
- Manage the development, implementation and operation of policies and procedures which the legal team is either subject to or responsible for
- Formulate key deliverables of the legal team
- Substitute for the General Counsel when required
- Proven legal experience in the following sectors: financial services, contracts, intellectual property and corporate governance;
- Strong communication and negotiation skills;
- 10 years + post admission experience (7+ for Senior Corporate Counsel role) in a corporate / commercial environment, preferably with a public company and/or financial services (credit or insurance) focus;
- Ability to network and deal with vendors and suppliers.
- Strong analytical skills.
- Ability to proficiently plan, organize and facilitate meetings and functions;
- Member focus and orientation;
- Maturity in dealing with conflict; and
- Capability in dealing with Member or Supplier dissatisfaction and complaints and ability to determine root cause as well as corrective action required.
- Strong leadership ability;
- experience in risk and compliance matters, including development of compliance programs, regulatory engagement and resolution of incidents;
- Demonstrated management experience within a medium to large enterprise.
- LLB or equivalent qualification
- Degree in commerce or finance desirable
- Holds or is eligible to hold a current Western Australia (or other Australian state/territory) legal practising certificate
- Graduate qualification in corporate governance or related area desirable (e.g. Governance Institute of Australia, Australian Institute of Company Directors or similar)
