Job Description
Perform all duties required of a Company Secretary for the firm, including all companies within its control within the Australasian region.
This includes, but is not limited to:
Arrange board meetings and minutes as required;
File statutory notices; and
Execute documents in accordance with companies' constitutions.
Provide legal advice and assistance to Head Office departments and Regional offices in the management and administration of their legal obligations touching and concerning their operations. This includes, but is not limited to:
Contractual matters;
Acquisitions and divestitures;
Employment matters;
Insolvency matters;
Enforcement proceedings;
Leasing and property matters; and Intellectual property matters; and
Liability claims matters.
Manage and administer the use of external counsel. This includes, but is not limited to:
Provide instructions to counsel on the conduct of litigious matters on behalf of the company;
Manage the external legal budget; and
Provide reports as required on expenditures in accordance with parent company guidelines.
Manage and administer broker relationships with appointed global insurance brokers. This includes, but is not limited to:
Liaise with the broker on contractual insurance requirements.
Notify broker of claims in accordance with insurance requirements; and
Provide information for renewal of local and global policies of insurance.
Manage and administer all insurance liability claims in conjunction with the appointed insurance broker and external counsel.
Manage and administer the legal risk management and legal compliance programs, in consultation with the Business Practices Officer as appropriate. This includes, but is not limited to:
Quarterly compliance notifications in compliance with Sarbanes Oxley;
Trade Practices training and compliance; and
Develop and manage the annual risk assessment plan.
Develop and provide legal training to relevant parts of the Australasian operations.
Active participation as a trustee of the New Zealand superannuation fund. This includes, but is not limited to:
Attend quarterly Trustee meetings; and
Provide ad hoc advice to the Trustees.
Recruit, select and develop the Legal team, setting and communication appropriate standards of performance and coaching to deliver against personal and departmental objectives.
The Successful Applicant
The desired qualifications for this position are:
Admitted to practice as a Solicitor of the Supreme Court of NSW, at least, or other States in Australia.
