The Position
We are seeking both Directors and a Company Secretary who wish to become an integral part of a local non-for-profit organisation and who can strengthen the skills and knowledge base of existing Board of Directors.
As a Director, you will assist in guiding the organisation’s strategic direction and be involved in the shaping of the business for future success and long-term sustainability. As well as possessing attributes to be an effective Director, we are particularly seeking potential directors with skills in the areas of Early Years Childhood Education and Care, Business Development, Legal & Governance, and Finance.
As Company Secretary you would be responsible for managing the governance and statutory compliance requirements of the Board of Directors, assisting in the management of Board operations, and ensuring all business of appropriately recorded in Minutes of Meeting.. The role will be of an advisory nature relating to Board members’ legal obligations and compiling and submitting appropriate reports to government agencies and reporting bodies.
This is a voluntary role, without remuneration.
What you will bring
- Qualifications to hold the position under the Corporations Act 2001.
- Knowledge and understanding of corporate governance and statutory compliance requirements or the ability to acquire this knowledge upon joining the Board..
- The ability to contribute effectively to the strategic decision making of the Board of Directors of Adventure Patch.
- A thorough understanding of the obligations for reporting and submissions to relevant government agencies and other reporting bodies or the ability to acquire this knowledge upon joining the Board.
- Excellent interpersonal skills, with strong communication skills desired.
- Ability to function effectively as a collaborative team member and cultivate a positive working relationship.
- A commitment to working within the parameters of our values.
- Experience with reviewing financial information, including analysing statements, assessing financial viability, and reviewing funding arrangements or the ability to acquire this knowledge upon joining the Board.
Attendance at Meetings
Board meetings are held bi-monthly, generally on the third Wednesday of the month, at 6:30pm. Attendance is in person at the Adventure Patch premises. Between meetings, interaction may occur through various committees, phone and email.
